    TERMS AND CONDITIONS

    1. The following General Terms and Conditions (hereinafterTerms) shall govern the contractual relationship entered intoby Journal International Verlags- und Werbegesellschaft mbH(hereinafter JI) and the Customer when placing andprocessing Advertising Orders. Unless expressly providedotherwise, these Terms shall exclusively apply for this purpose.The Customers general terms of contract or business shall beexcluded, which shall also apply in the event that the inclusionof the Customers general terms is not expressly contradictedby JI or JI provides its services without objection.

    2. Advertising Order as defined in these Terms means the

    contract for the publication of one or several ads of anadvertising customer or other advertiser (Customer) for thepurpose of distribution via a newspaper or magazine marketedby JI. The Terms shall apply accordingly also to orders fortip-ons, bound-ins, inserts or special technical layouts.

    3. The Advertising Order shall be effected upon theconfirmation of acceptance by JI or an official JI representative.

    4. Cancellations of orders are only possible up until two weeksprior to booking deadline. For premium positions thecancellation deadline is four weeks prior to booking deadline.

    5. The responsibility for the timely delivery of the ad or inserttext and flawless artwork lies with the Customer. If theartwork is visibly unsuitable or damaged, JI shall promptlyrequest replacement artwork. JI guarantees a customary printquality for the covered title within the limits set by theartwork. Costs incurred by JI for requested or justifiablechanges of the artwork following the closing and/or finaldelivery date for advertisements and/or print material shall beborne by the Customer. JI shall not be liable for any situationwhere agreed advertisement placements can not be met dueto delayed delivery of print material and in cases of areduction of print quality.

    6. JI reserves the right to reject advertising and insert orderson the basis of their contents, origin or technical design inaccordance with the uniform objective principles of JI, if thecontents violate laws or government regulations or if thepublication is unacceptable for JI, which includes, but is notlimited to advertising orders from competitors of anAmerican Express company.

    7. The invoice shall be payable within the period as shown inthe Rate Card starting from the receipt of the invoice, unlessother payment terms or advance payment has been agreed inwriting in the particular case. JI reserves the right to demandadvance payment by the ad deadline for reasonable cause,such as the first establishment of business relations.

    8. The advertising rates quoted are exclusive of VAT.

    9. JI shall be entitled to modify the Terms and the prices atany time upon three months written notice.

    10. Claims for damages arising out of a positive breach of anobligation, culpa in contrahendo or tort shall be excluded,even in case of orders placed by telephone; claims fordamages arising out of the impossibility of performance anddelay shall be limited to compensation of the foreseeable lossand the fee payable for the relevant ad or insert. This shall notapply to cases of intent and gross negligence by JI, its legalrepresentatives and vicarious agents. Any liability of JI fordamages arising out of the lack of warranted characteristicsshall remain unaffected.

    11. Complaints about obvious defects must be filed by the

    Customer at the latest within two weeks after receipt of theinvoice. Complaints about non-obvious defects must be filedby the Customer at the latest 30 days after publication of thead. If the print of an ad is faulty in spite of the timely deliveryof flawless artwork and in case of a timely complaint, theCustomer may demand the reprint of a flawless replacementad. A claim for supplementary performance shall be excluded,if such performance would result in unreasonable expensesfor JI. If JI lets a reasonable grace period expire, if JI refusessupplementary performance, and if supplementaryperformance is not acceptable for the Customer or fails, theCustomer shall be entitled to rescind the contract or demand

    reduction of the payment to the extent to which the purposeof the ad was impaired. Warranty claims of merchants shallexpire 12 months after the publication of the relevant ad.

    12. The Customer warrants that it has all rights required forplacing the ad. The Customer shall be liable to JI for damagessuffered by JI due to claims asserted by third parties on thebasis of provisions of press law or other laws. The Customershall indemnify and hold harmless JI from and against allclaims asserted by third parties against JI on the basis of analleged infringement of provisions of competition law, criminallaw, copyright law and other statutory provisions. Theindemnification shall also cover the expenses incurred in thenecessary legal defence against third parties. The Customershall be obliged to provide all reasonable assistance to JI in thelegal defence against third parties. JI shall not be obliged toexamine orders and ads for determining whether they mayinfringe rights of third parties.

    13. Advertising brokers and advertising agencies shall beobliged to adhere to the Rate Card of JI in their tenders,contracts and statements of accounts with the advertisers.

    14. Artwork shall be returned to the Customer only uponspecial request. JIs obligation to preserve the artwork shallexpire three months after the first-time distribution of the ad.

    15. Should one or more provisions of these Terms and/or theOrder be or become invalid, this shall not affect the validityof the remaining provisions. The Parties agree to replace aninvalid provision through supplementary construction of theseTerms with such a provision that comes as close as possible tothe economic purpose originally intended by the Parties. Thesame shall apply to gaps found in these Terms.

    16. The place of performance shall be JIs place of jurisdiction.The place of jurisdiction in business dealings with merchants,legal entities or special funds under public law shall be theplace of business of JI.

    17. These Terms shall be governed by German law to the exclusionof its conflict of law rules and the UN Sales Convention.

    ADVERTISING GUIDELINES AND UNACCEPTABLE ADVERTISINGa) Any establishment which does not accept AmericanExpress as a form of payment unless the organisation is onewhich does not accept credit card plastic of any kind (e.g.car manufacturers).b) Any organisation in direct competition with services orbenefits offered by American Express to Centurion orPlatinum Card members.c) Travel related advertising and advertising with Cardmember specific offers is subject to the certain Call-to-Action requirements and approval by American Express.Please refer to full TRAVEL ADVERTISING AND OFFERGUIDELINES 2010 for MTS Call-to-Action.d) Loose inserts must not exceed one per issue in CenturionMagazine and two per issue in PlatinumMagazine.
