    INTRODUCTION

    This specifies the code of ethical business conduct of Tech Mahindra and its subsidiaries (hereinafter referred to as “Tech Mahindra”/”Company”). This policy is indicative and associates areadvised to be aware of specific nuances as applicable per laws of the land. This policy applies toall associates globally to ensure consistent understanding and application of values includingintegrity behaviour while ensuring due respect for local customs and tradition.

    OBJECTIVE

    The !irectors both e"ecutive and non e"ecutive and #ssociates are responsible for carrying outtheir duties in an honest fair diligent and ethical manner within the scope of the authority

    conferred upon them and in accordance with the laws rules regulations agreements guidelinesstandards and internal policies including such other re$uirements which are incidental thereto. #s!irectors and #ssociates of Tech Mahindra we have a duty to ma%e decisions and implement policies in the best interests of the company and its sta%eholders. The &oard of !irectors of TechMahindra is entrusted with the fiduciary responsibility of overseeing the assets and affairs of thecompany. 'n this policy third party means any individual or organiation associates come intocontact with during the course of their wor% for us and includes actual and potential clientscustomers suppliers distributors business contacts agents advisers and government and public bodies including their advisors representatives and officials politicians and political parties.

    SCOPE

    The code of conduct is applicable to

    (i) &oth e"ecutive and non e"ecutive !irectors of the company (ii) #ll #ssociates of thecompany The &oard of !irectors of Tech Mahindra has adopted this Code of *thical&usiness Conduct as a testimony of its commitment to adhere to the standards of loyaltyhonesty integrity and to avoid any %ind of conflicts of interest. The rules and principlesset forth in this code are general in nature and the compliance with the code shall beensured to be read with other applicable company+s policies , procedures and theapplicable laws of land wherever the company operates. The !irectors and #ssociates

    may contact the C--#T* -M&0!1M#2 for assistance in interpreting there$uirements of this code.

    (ii) 't is hereby clarified that the re$uirement to comply with this code does not constitute ane"press or implied promise of continued employment with T*C3 M#3'2!# #nyamendments to this code shall be first approved by the &oard of !irectors and promptlydisclosed on the company+s website. 'n the event of any changes re$uired to be performed prior to the board approval this would be accordingly ratified by the board of directors in the subse$uent board meeting.

    The Environmental Sustainabilit Initiatives O! The Or"anisation

    TechMahindra for the first time has forayed into sustainability reporting. rior to this thecompany used to report on 434 indicators via Mahindra group sustainability reports. The

    first sustainability report is for financial year 567897: (#pril to March). 't has been preparedin conformance to the 48.7

    1ustainability eporting 4uidelines published by the 4lobal eporting 'nitiative (4'). Thereport addresses the %ey sustainability topics gleaned through interactions with the differentsta%eholder groups based on the core principles of materiality and sta%eholder inclusiveness.These topics cover the full range of material economic social and environmental impacts of the organiation. The report boundaries and e"clusions are detailed below
