BPA J.S was formed in 2003, servicing the commercial, industrial and residential markets of I.R Iran. Today BPA Construction is one of the largest truly empowered construction companies in Iran. The Company has a total staff complement of 35.

The Company is accredited with Planning and Management Organization ratings of 2, confirming BPA ability to take on projects of unlimited value in both the general building and civil engineering industries. BPA is 100% black-owned .

BPA Construction offers contracting services on a wide variety of projects, from Finance, Design, Build and Operate to Public Private Partnership Contracts as well as the conventional building contracts. Training

CORPORATE GOVERNANCE BPA Construction is committed to the principles of integrity, accountability and transparency as set out in MPO.

The Board

The Board consists of three Directors, and meets fortnightly on a formal basis. It is responsible for setting strategy, determining investment policy, reviewing quarterly performance in detail against previously approved budgets and identifying and monitoring risk areas. BPA Construction complies with the mandatory requirement of having a Chairman as well as a Managing Director, with separate functions within the Company.

Remuneration Committee

The Board has established a Remuneration Committee, which consists of all three Executive Directors. It is responsible for determining the remuneration packages and conditions of employment of the Executive Directors and staff complement.

Audit and Risk Management

Committees The Audit Committee consists of two Executive Directors. Both the head of the internal audit department and the external audit partners have unrestricted access to the Audit Committee. With a small Board of Directors, BPA Construction believes that the creation of a Nomination Committee would be giving precedence to substance over form. However, the Board regularly reviews the appropriateness of its size and how best it can perform its duties. The Risk Management Committee consists of all three Executive Directors. The Committee reports to the Board on a regular basis setting out its evaluations of the risks faced by the Company and the recommended strategies for mitigating the impact thereof on the Company. Responsibility for risk identification, evaluation and management remains with the Board.

2. Quality Control for Building Work Instructions

All sites are to comply with Construction’s Quality Control Procedures as provided in the Building Works Inspections Manual. This procedure describes the method to be used for the inspection and monitoring of BPA’s building works.

All sites are to allocate persons responsible for compliance with the implementation of the system in the designated areas. Key performance areas requiring special monitoring are to be identified and, if deemed necessary, additional systems incorporated to ensure compliance with standards.

3. Environmental Management Plan

The protection of our environment is a prerequisite consideration in all decisions and actions of the Company. Coupled with our generic Environmental Management Plan (EMP), the site management will formulate a site specific EMP prior to occupation of the project. This plan will also take into account the Employers’ EMP usually issued by their appointed Environmental Control Officer (ECO).
