1. MARKET INFORMATION

Market OverviewTanjung Priok is the biggest container port in Indonesia. As part of enhancing the country’s infrastructure, the government aims to increase the port’s holding capacity from 5 million containers at one time to 14 million containers by 2023. In order achieve this, President Joko Widodo has approved a new regulation that lowers the dwelling period of containers at the port from 8 days to only 4.5 days.

Under the new regulations, companies who want to extend the dwelling time of their containers at the port will have to park their containers at Temporary Container Terminals (TCT) in the area, resulting in a sudden surge in the demand for TCTs. TCTs in good location are in ever higher demand, and the one acquired by PT Adi Ageng Abadi is located just 200 meters away from the main port.

SWOT Analysis In order to thoroughly assess the project, an overview of its strength, weaknesses, opportunities and threats should be explicated.

STRENGTH WEAKNESS

● Biggest Port in Indonesia, servingabout 70% of the country'sinternationally traded goods.

● Tanjung Priok Port is Indonesia’slargest international containerterminal, with container trafficincreasing by 160% from 2010 to2015.

● The Indonesian Port Corporation's(IPC) expansion project will expandthe port by adding seven newterminals and two product terminals,increasing the port's containerhandling capacity to 18 milliontwenty-foot equivalent units (TEUs).

● Due to increased maritime activity,here is a bottleneck issue in TanjungPriok. There is a long waiting time tounload cargo containers.

● There is insufficient space to cater tothe ever-increasing demand forcontainer terminals. For example, themaximum capacity of the port is 5million TEUs, but it handled 5.9million TEUs in 2013.

● The dwell time for Tanjung Port isthree times higher than Singapore andalmost double that of Tanjung Lepasin Malaysia

The total investment required to complete the 2nd phase of takeover of the TCT facility is SGD

EthisCrowd investors will be given a PSR of 15% from the Gross Profit of the second year of PT A3's operations. The Gross Profit will be divided according to the PSR based on each investor’s individual capital contribution amount. Payouts will be given in a lump sum at the end of the project Duration (24-27 months).

First-time investors are given the flexibility to start investing with only SGD 250. Those who invest more than SGD 30,000 will be entitled to a Profit Sharing Ratio bonus of 2%. Projected

profits for investors will come from the rental fees received by PT Adi Ageng Abadi from the management of the TCT facility. The projected profits are conservative, and derived on a price-strategy based on today’s market.

3. LEGALITY

PT Ethis has also studied the commercial viability of this project in line with our internal screening standards. PT Ethis has independently verified all the documents issued by PT AIRIN (Indonesian Air and Marine supply, a subsidiary of the port authority) (http://airin.co.id/en/home/) including:

a) MOU between PT AIRIN and PT Adi Ageng Abadi where PT Adi Ageng Abadi is appointed as the new tenant,

b) letter of cancellation of PT DMK’s contract (the previous tenant)c) other relevant documents

EthisCrowd investors are encouraged to conduct their own evaluation of this campaign, and to diversify crowd-investments into multiple projects.

Agreements between PT Adi Ageng Abadi and PT Ethis are drafted in accordance to Singapore law. Investors will sign Mudharabah profit sharing agreements directly with PT Adi Ageng Abadi (PT A3).

NOTE: Investors through their investment do not own any portion of the TCT facility acquired by PT Adi Ageng Abadi (PT A3).

4. RISK PROFILE

The TCT facility is fully functional. Employees are ready to start as soon as the operations kick off. PT Adi Ageng Abadi has already successfully signed a contract with a shipping company to rent 60% of the space of the TCT facility.

Time Frame and Delay

PT Adi Ageng Abadi will need to process the license to operate, which is expected to be obtained in March 2017. Any delays in the issuance of this license will also delay the projected time-frame. PT A3 has forecasted a repayment period of 24-27 months. The timeline projected includes a 3 month-buffer period to cater for unforeseen delays.

Exchange Rate

Investors will invest and obtain payouts in SGD, USD, EUR or other approved investment currencies. The Mudharabah agreement for this campaign however will be denominated in Indonesian Rupiah (IDR) since it is the actual currency the project will use for operations. After investments in the approved investment currencies are received, PT Ethis will convert them to

IDR using Ethis exchange rates. Investors are protected from negative currency fluctuations of the IDR by a guarantee (Wa'd) from PT Ethis Indo Asia. This company’s guarantee ensures investors that in the event of negative fluctuations in the value of the Indonesian Rupiah (IDR) during the period of investment, PT Ethis Indo Asia will allocate funds to absorb any loss in the value of the IDR and adjust the rate of investment currencies at the time of payouts to be equal to the established Ethis exchange rates set at the time of investment (e.g. SGD1=IDR 9,100 , USD1=IDR 12,900 and EUR1=IDR 13,800). Therefore, investors will enter and exit their investments in SGD, USD, EUR or other approved investment currencies at the fixed Ethis exchange rate.

The investors also bear exchange charges and remittance fees when transferring their investments. Remittance fees for payouts will be covered by PT Adi Ageng Abadi.

Market Risks

Due to the new regulation of increasing the efficiency of the port, our analysis is that the market is expected to grow and expand. Unforeseen risks such as recession, political instability, and natural disaster may affect the project.

Founded in 2002 by Mr. Fihfi Alfhian, PT Adi Ageng Abadi is a licensed transportation management services company with headquarters in Jakarta and main office in Tanjung Priok, Indonesia.

The core business of the company is providing maritime services including: loading and unloading containers and cargo, CCTV installation, IT solutions, and security services.
