Preface

These Philippine Bidding Documents (PBDs) for the procurement of GoodsthroughCompetitiveBiddinghavebeenpreparedbytheGovernmentofthePhilippines(GOP) for use by all branches, agencies, departments, bureaus, offices, orinstrumentalities of the government, including government-owned and/or -controlledcorporations (GOCCs), government financial institutions (GFIs), state universities andcolleges (SUCs), and local government units (LGUs) and autonomous regionalgovernment. The procedures and practices presented in this document have beendeveloped through broad experience, and are formandatory1 use in projects that arefinanced in whole or in part by the GOP or any foreign government/foreign orinternationalfinancinginstitutioninaccordancewiththeprovisionsofthe2016RevisedImplementingRulesandRegulations(IRR)ofRepublicAct(RA)9184.

TheBiddingDocumentsshallclearlyandadequatelydefine,amongothers:(a)the

objectives,scope,andexpectedoutputsand/orresultsoftheproposedcontract;(b)theeligibilityrequirementsofbidders,suchastrackrecordtobedeterminedbytheHeadoftheProcuringEntity; (c) theexpected contractduration, theestimatedquantity in thecase of procurement of goods, delivery schedule and/or time frame; and (d) theobligations,duties,and/orfunctionsofthewinningbidder.

In order to simplify the preparation of the Bidding Documents for each

procurement,thePBDsgroupstheprovisionsthatareintendedtobeusedunchangedinSectionII.InstructionstoBidders(ITB)andinSectionIV.GeneralConditionsofContract(GCC). Data and provisions specific to each procurement and contract should beincluded in Section III. BidData Sheet (BDS); SectionV. Special Conditions of Contract(SCC); Section VI. Schedule of Requirement; Section VII. Technical Specifications, andSectionIX.Foreign-AssistedProjects.TheformstobeusedareprovidedinSectionVIII.BiddingForms.

CareshouldbetakentochecktherelevanceoftheprovisionsofthePBDsagainst

the requirements of the specific Goods to be procured. In addition, each section ispreparedwithnotesintendedonlyasinformationfortheProcuringEntityorthepersondrafting the Bidding Documents. They shall not be included in the final documents,except for the notes introducing Section VIII. Bidding Formswhere the information isusefulfortheBidder. Thefollowinggeneraldirectionsshouldbeobservedwhenusingthedocuments:

(a) AllthedocumentslistedintheTableofContentsarenormallyrequiredfor

the procurement of Goods. However, they should be adapted asnecessarytothecircumstancesoftheparticularProject.

(b) Specificdetails,suchasthe“nameoftheProcuringEntity”and“addressforbidsubmission,”shouldbefurnishedintheITB,BDS,andSCC.Thefinaldocumentsshouldcontainneitherblankspacesnoroptions.

(c) ThisPrefaceandthefootnotesornotesinitalicsincludedintheInvitationto Bid, BDS, SCC, Schedule of Requirements, and Specifications are notpartofthetextofthefinaldocument,althoughtheycontain instructionsthat the Procuring Entity should strictly follow. The BiddingDocumentsshouldcontainnofootnotesexceptSectionVIII.BiddingFormssincetheseprovideimportantguidancetoBidders.

(d) The cover should be modified as required to identify the BiddingDocumentsastothenamesoftheProject,Contract,andProcuringEntity,inadditiontodateofissue.

(e) If modifications must be made to bidding requirements, they can bepresentedintheBDS.ModificationsforspecificProjectorContractdetailsshould be provided in the SCC as amendments to the Conditions ofContract. For easy completion, whenever reference has to be made tospecificclausesintheBDSorSCCthesetermsshallbeprintedinboldtypeface on Section I. Instructions to Bidders and Section III. GeneralConditionsofContract,respectively.

NotesontheInvitationtoBidThe Invitation to Bid provides information that enables potential Bidders to decidewhethertoparticipateintheprocurementathand.TheInvitationtoBidshallbe:(a) Posted continuously in the Philippine Government Electronic Procurement

System (PhilGEPS)website, thewebsite of the Procuring Entity concerned, ifavailable, and the website prescribed by the foreign government/foreign orinternational financing institution, if applicable, for seven (7) calendar daysstartingonthedateofadvertisement;

(b) Postedatanyconspicuousplace reserved for thispurpose in thepremisesofthe ProcuringEntityconcernedforseven(7)calendardays,ascertifiedbytheheadof the Bids and Awards Committee (BAC) Secretariat of the Procuring Entity concerned;and(c) Advertisedatleastonceinanewspaperofgeneralnationwidecirculationwhich

Apart fromtheessential items listed in theBiddingDocuments, the InvitationtoBidshouldalsoindicatethefollowing:(a) ThedateofavailabilityoftheBiddingDocuments,whichshallbefromthetime

the Invitation to Bid is first advertised/posted until the deadline for thesubmissionandreceiptofbids;

(b) TheplacewheretheBiddingDocumentsmaybeacquiredorthewebsitewhereitmaybedownloaded;

(c) ThedeadlineforthesubmissionandreceiptofbidsfromthelastdayofpostingoftheInvitationtoBid;and

(d) Any important bid evaluation criteria (e.g., the application of a margin ofpreferenceinbidevaluation).

The Invitation to Bid should be incorporated in the Bidding Documents. TheinformationcontainedintheInvitationtoBidmustconformtotheBiddingDocuments

INVITATION TO BID FOR THE PRINTING OF SAFETY PROTOCOLS STICKERS

(ITB NO. 2020-035)

1. The Tourism Promotions Board (TPB), through the Corporate Budget FY 2020, intends to apply the sum of Eighteen Million Eight Hundred Fifty Eight Thousand Seven Hundred Fifty Pesos Only (Php18,858,750.00), inclusive of all applicable taxes, being the Approved Budget for the Contract (ABC) to payments under the contract for the PRINTING OF SAFETY PROTOCOLS STICKERS. Bids received in excess of the ABC shall be automatically rejected at the bid opening.

2. The TPB, now invites bids from eligible Bidders for the PRINTING OF SAFETY

PROTOCOLS STICKERS.

Delivery of the Goods is required as follows: 5,000 sets – 30 Calendar days upon receipt of Notice To Proceed and approval of final proofing/sample 10,000 sets – 45 Calendar days after initial delivery. Total delivery – 15,000 set

Bidders should have completed, within Five (5) years from the date of submission and receipt of bids, a contract similar to the Project, a Single Contract that is similar to this project, equivalent to at least Twenty-Five percent (25%) of the ABC. The description of an eligible bidder is contained in the Bidding Documents, particularly in Section II. Instructions to Bidders.

3. Bidding will be conducted through open competitive bidding procedures using a non-

discretionary “pass/fail” criterion as specified in the 2016 Revised Implementing Rules and Regulations (RIRR) of Republic Act (RA) 9184, otherwise known as the “Government Procurement Reform Act”.

Bidding is restricted to Filipino citizens/sole proprietorships, partnerships, or

organizations with at least sixty percent (60%) interest or outstanding capital stock belonging to citizens of the Philippines, and to citizens or organizations of a country the laws or regulations of which grant similar rights or privileges to Filipino citizens, pursuant to RA 5183.

4. Interested bidders may obtain further information from the TPB - Bids and Awards

Committee (TPB-BAC) Secretariat and inspect the Bidding Documents at the address given below from 8:00 a.m. to 5:00 p.m. Monday to Friday Excluding holidays

5. A complete set of Bidding Documents may be acquired by interested bidders from

September 08, 2020 to September 29, 2020 (9:30 a.m.) at the address below and upon payment of a non-refundable fee for the Bidding Documents, pursuant to the latest Guidelines issued by the GPPB, in the amount of Twenty-Five Thousand Pesos Only (Php 25,000.00).

It may also be downloaded free of charge from the website of the Philippine Government Electronic Procurement System (PhilGEPS) and the website of TPB,

provided that bidders shall pay the non-refundable fee for the Bidding Documents not later than the submission of their bids.

6. The TPB will hold a Pre-Bid Conference on September 16, 2020, 10:00 a.m. at the TPB Board Room, 4/F Legaspi Towers 300, Roxas Boulevard, Manila which shall be open to all prospective bidders.

Note: The venue of the Pre Bid Conference may be subject to change in compliance with GPPB Resolution No. 09-2020, dated 07 May 2020, and other relevant issuances which will be posted through a Supplemental Bid Bulletin, if any.

7. Bids must be delivered to the address below on or before September 29, 2020, 10:00

a.m. All bids must be accompanied by a bid security in any of the acceptable forms and in the amount stated in ITB Clause 12.1. Note: The manner of submission may be subject to change in compliance with GPPB Resolution No. 09-2020, dated 07 May 2020, and other relevant issuances which will be posted through a Supplemental Bid Bulletin, if any.

8. Bid opening shall be on September 29, 2020, 10:30 a.m. at the TPB office/4th Flr. Legaspi Towers 300, Roxas Blvd., Manila. Bids will be opened in the presence of the Bidders’ representatives who choose to attend at the address below. Late bids shall not be accepted.

9. The TPB reserves the right to accept or reject any bid, to annul the bidding process, and to reject all bids at any time prior to contract award in accordance with Section 41 of RA 9184 and its RIRR, without thereby incurring any liability to the affected bidder or bidders.

A. General

1. ScopeofBid

1.1. The procuring entity named in the BDS (hereinafter referred to as the“TourismPromotionsBoard (TPB)”wishes to receive bids for supply anddelivery of the goods as described in Section VII. Technical Specification(hereinafterreferredtoasthe“Goods”).

1.2. The name, identification, and number of lots specific to this bidding areprovided in theBDS. ThecontractingstrategyandbasisofevaluationoflotsisdescribedinITBClause28.

2. SourceofFunds

TheTourismPromotionsBoard(TPB)hasabudgetorhasappliedfororreceivedfundsfromtheFundingSourcenamedintheBDS,andintheamountindicatedintheBDS.ItintendstoapplypartofthefundsreceivedfortheProject,asdefinedintheBDS,tocovereligiblepaymentsunderthecontract.

3. Corrupt,Fraudulent,Collusive,andCoercivePractices

3.1. UnlessotherwisespecifiedintheBDS,theTourismPromotionsBoard(TPB)aswellasthebiddersandsuppliersshallobservethehigheststandardofethicsduringtheprocurementandexecutionofthecontract.Inpursuanceofthispolicy,theTPB:

(a) defines,forpurposesofthisprovision,thetermssetforthbelowasfollows:

(i) “corruptpractice”meansbehavioronthepartofofficialsinthepublicorprivate sectorsbywhich they improperly andunlawfullyenrichthemselves,others,orinduceotherstodoso, bymisusing the position inwhich they are placed, andincludes the offering, giving, receiving, or soliciting ofanythingofvaluetoinfluencetheactionofanysuchofficialin the procurement process or in contract execution;entering,onbehalfofthegovernment,intoanycontractortransaction manifestly and grossly disadvantageous to thesame,whetherornotthepublicofficerprofitedorwillprofitthereby,andsimilaractsasprovidedinRA3019.

(ii) “fraudulentpractice”meansamisrepresentationoffactsinorder to influenceaprocurementprocessor theexecutionof a contract to the detriment of the Tourism PromotionsBoard(TPB)and includescollusivepracticesamongBidders(prior toor after bid submission) designed to establishbid

pricesatartificial,non-competitivelevelsandtodeprivetheofthebenefitsoffreeandopencompetition.

(iii) “collusive practices” means a scheme or arrangementbetween two or more Bidders, with or without theknowledgeoftheTourismPromotionsBoard(TPB),designedtoestablishbidpricesatartificial,non-competitivelevels.

(iv) “coercivepractices”meansharmingorthreateningtoharm,directlyor indirectly,persons,ortheirpropertytoinfluencetheir participation in a procurement process, or affect theexecutionofacontract;

(v) “obstructivepractice”is

(aa) deliberately destroying, falsifying, altering orconcealingofevidencematerial toanadministrativeproceedings or investigation or making falsestatements to investigators in order to materiallyimpede an administrative proceedings orinvestigationoftheTourismPromotionsBoard(TPB)or any foreign government/foreign or internationalfinancing institution into allegations of a corrupt,fraudulent, coercive or collusive practice; and/orthreatening, harassing or intimidating any party toprevent it from disclosing its knowledge ofmattersrelevant to the administrative proceedings orinvestigation or from pursuing such proceedings orinvestigation;or

(bb) acts intended to materially impede the exercise of

the inspection and audit rights of the TourismPromotions Board (TPB) or any foreigngovernment/foreign or international financinginstitutionherein.

(b) will reject a proposal for award if it determines that the Bidder

recommended for award has engaged in any of the practicesmentioned in this Clause for purposes of competing for thecontract.

3.2. Further, the Tourism Promotions Board (TPB) will seek to impose themaximum civil, administrative, and/or criminal penalties available underapplicablelawsonindividualsandorganizationsdeemedtobeinvolvedinanyofthepracticesmentionedinITBClause3.1(a).

3.3. Furthermore,theFundingSourceandtheTourismPromotionsBoard(TPB)reservetherighttoinspectandauditrecordsandaccountsofabidderor

supplier in the bidding for andperformanceof a contract themselves orthroughindependentauditorsasreflectedintheGCCClause3.

4. ConflictofInterest

4.1. All Bidders found to have conflicting interests shall be disqualified toparticipate in the procurement at hand, without prejudice to theimposition of appropriate administrative, civil, and criminal sanctions. ABiddermaybeconsideredtohaveconflictinginterestswithanotherBidderinanyoftheeventsdescribed inparagraphs(a)through(c)belowandageneral conflict of interest in any of the circumstances set out inparagraphs(d)through(f)below:

(a) A Bidder has controlling shareholders in common with anotherBidder;

(b) ABidderreceivesorhasreceivedanydirectorindirectsubsidyfromanyotherBidder;

(c) A Bidder has the same legal representative as that of anotherBidderforpurposesofthisbid;

(d) ABidder has a relationship, directly or through third parties, thatputs them in a position to have access to information about orinfluenceonthebidofanotherBidderorinfluencethedecisionsoftheTourismPromotionsBoard(TPB)regardingthisbiddingprocess.Thiswillincludeafirmoranorganizationwholends,ortemporarilyseconds,itspersonneltofirmsororganizationswhichareengagedin consulting services for the preparation related to procurementfor or implementation of the project if the personnel would beinvolvedinanycapacityonthesameproject;

(e) A Bidder submits more than one bid in this bidding process.However,thisdoesnot limittheparticipationofsubcontractors inmorethanonebid;or

(f) ABidderwhoparticipatedasaconsultantinthepreparationofthedesignortechnicalspecificationsoftheGoodsandrelatedservicesthatarethesubjectofthebid.

4.2. In accordance with Section 47 of the IRR of RA 9184, all BiddingDocumentsshallbeaccompaniedbyaswornaffidavitoftheBidderthatitisnotrelatedtotheHeadoftheProcuringEntity(HoPE),membersoftheBids and Awards Committee (BAC), members of the Technical WorkingGroup (TWG), members of the BAC Secretariat, the head of the ProjectManagement Office (PMO) or the end-user unit, and the projectconsultants, by consanguinityor affinity up to the third civil degree. OnthepartoftheBidder,thisClauseshallapplytothefollowingpersons:

(a) IftheBidderisanindividualorasoleproprietorship,totheBidderhimself;

(b) IftheBidderisapartnership,toallitsofficersandmembers;

(c) If the Bidder is a corporation, to all its officers, directors, andcontrollingstockholders;

(d) If the Bidder is a cooperative, to all its officers, directors, andcontrollingshareholdersormembers;and

(e) IftheBidderisajointventure(JV),theprovisionsofitems(a),(b),(c),or(d)ofthisClauseshallcorrespondinglyapplytoeachofthemembersofthesaidJV,asmaybeappropriate.

Relationshipof thenaturedescribedaboveor failure tocomplywiththisClausewillresultintheautomaticdisqualificationofaBidder.

5. EligibleBidders

5.1. Unless otherwise provided in the BDS, the following persons shall beeligibletoparticipateinthisbidding:

(a) DulylicensedFilipinocitizens/soleproprietorships;

(b) Partnershipsdulyorganizedunder the lawsof thePhilippinesandof which at least sixty percent (60%) of the interest belongs tocitizensofthePhilippines;

(c) CorporationsdulyorganizedunderthelawsofthePhilippines,andof which at least sixty percent (60%) of the outstanding capitalstockbelongstocitizensofthePhilippines;

(d) CooperativesdulyorganizedunderthelawsofthePhilippines,andof which at least sixty percent (60%) of the interest belongs tocitizensofthePhilippines;and

(e) Persons/entitiesformingthemselvesintoaJointVenture(JV),i.e.,agroupoftwo(2)ormorepersons/entitiesthat intendtobe jointlyand severally responsible or liable for a particular contract:Provided, however, that Filipino ownership or interest of the JVconcernedshallbeatleastsixtypercent(60%).

5.2. Foreignbiddersmaybeeligible toparticipatewhenanyof the followingcircumstancesexist,asspecifiedintheBDS:

(a) WhenaTreatyorInternationalorExecutiveAgreementasprovidedin Section 4 of the RA 9184 and its IRR allow foreign bidders toparticipate;

(b) Citizens,corporations,orassociationsofacountry, includedinthelist issued by the GPPB, the laws or regulations of which grantreciprocal rights or privileges to citizens, corporations, orassociationsofthePhilippines;

(c) WhentheGoodssoughttobeprocuredarenotavailablefromlocalsuppliers;or

(d) Whenthereisaneedtopreventsituationsthatdefeatcompetitionorrestraintrade.

5.3. Governmentownedor –controlled corporations (GOCCs)maybe eligibleto participate only if they can establish that they (a) are legally andfinanciallyautonomous,(b)operateundercommerciallaw,and(c)arenotattachedagenciesoftheTPB.

5.4. UnlessotherwiseprovidedintheBDS,theBiddermusthavecompletedaSingle Largest Completed Contract (SLCC) similar to the Project and thevalueofwhich,adjusted,ifnecessary,bytheBiddertocurrentpricesusingthePhilippineStatisticsAuthority(PSA)consumerpriceindex,mustbeatleastequivalenttoapercentageoftheABCstatedintheBDS.

Forthispurpose,contractssimilartotheProjectshallbethosedescribedintheBDS,andcompletedwithintherelevantperiodstatedintheInvitationtoBidandITBClause12.1(a)(ii).

5.5. The Bidder must submit a computation of its Net Financial ContractingCapacity (NFCC), which must be at least equal to the ABC to be bid,calculatedasfollows:

NFCC=[(Currentassetsminuscurrent liabilities)(15)]minusthevalueof all outstanding or uncompleted portions of the projects underongoing contracts, including awarded contracts yet to be started,coincidingwiththecontracttobebid.

The values of the domestic bidder’s current assets and current liabilitiesshallbebasedonthelatestAuditedFinancialStatementssubmittedtotheBIR.For purposes of computing the foreign bidders’ NFCC, the value of thecurrent assets and current liabilities shall be based on their auditedfinancial statements prepared in accordance with international financialreportingstandards.IftheprospectivebidderoptstosubmitacommittedLineofCredit,itmustbeat leastequaltotenpercent(10%)oftheABCtobebid. If issuedbyaforeign universal or commercial bank, it shall be confirmed orauthenticatedbyalocaluniversalorcommercialbank.

6. Bidder’sResponsibilities

6.1. The Bidder or its duly authorized representative shall submit a swornstatementintheformprescribedinSectionVIII.BiddingFormsasrequiredinITBClause12.1(b)(iii).

6.2. TheBidderisresponsibleforthefollowing:

(a) Having taken steps to carefully examine all of the BiddingDocuments;

(b) Having acknowledged all conditions, local or otherwise, affectingtheimplementationofthecontract;

(c) Havingmadeanestimateofthefacilitiesavailableandneededforthecontracttobebid,ifany;

(d) Having complied with its responsibility to inquire or secureSupplemental/BidBulletin(s)asprovidedunderITBClause10.4.

(e) Ensuring that it isnot“blacklisted”orbarred frombiddingby theGOPoranyofitsagencies,offices,corporations,orLGUs,includingforeign government/foreign or international financing institutionwhoseblacklistingruleshavebeenrecognizedbytheGPPB;

(f) Ensuring that each of the documents submitted in satisfaction ofthe bidding requirements is an authentic copy of the original,complete,andallstatementsandinformationprovidedthereinaretrueandcorrect;

(g) Authorizing the HoPE or its duly authorized representative/s toverifyallthedocumentssubmitted;

(h) EnsuringthatthesignatoryisthedulyauthorizedrepresentativeoftheBidder,andgrantedfullpowerandauthoritytodo,executeandperformanyandallactsnecessaryand/ortorepresenttheBidderinthebidding,withthedulynotarizedSecretary’sCertificateattestingtosuchfact,iftheBidderisacorporation,partnership,cooperative,orjointventure;

(i) Complying with the disclosure provision under Section 47 of RA9184anditsIRRinrelationtootherprovisionsofRA3019;

(j) Complying with existing labor laws and standards, in the case ofprocurementofservices;Moreover,bidderundertakesto:

(i) Ensuretheentitlementofworkerstowages,hoursofwork,safetyandhealthandotherprevailingconditionsofworkasestablished by national laws, rules and regulations; orcollectivebargainingagreement;orarbitrationaward,ifandwhenapplicable.

In case there is a findingby theTourismPromotionsBoard(TPB) or the DOLE of underpayment or non-payment ofworkers’ wage and wage-related benefits, bidder agreesthat the performance security or portion of the contractamount shall be withheld in favor of the complainingworkerspursuanttoappropriateprovisionsofRepublicActNo.9184withoutprejudicetotheinstitutionofappropriateactionsundertheLaborCode,asamended,andothersociallegislations.

(ii) Complywith occupational safety and health standards and

tocorrectdeficiencies,ifany.

In caseof imminentdanger, injuryor deathof theworker,bidder undertakes to suspend contract implementationpending clearance to proceed from the DOLE RegionalOfficeandtocomplywithWorkStoppageOrder;and

(iii) Informtheworkersoftheirconditionsofwork,laborclauses

under the contract specifying wages, hours of work andother benefits under prevailing national laws, rules andregulations; or collective bargaining agreement; orarbitrationaward,ifandwhenapplicable,throughpostingintwo(2)conspicuousplacesintheestablishment’spremises;and

(k) Ensuring that it did not give or pay, directly or indirectly, any

commission,amount, fee,orany formofconsideration,pecuniaryorotherwise,toanypersonorofficial,personnelorrepresentativeof the government in relation to any procurement project oractivity.

Failuretoobserveanyof theaboveresponsibilitiesshallbeat theriskoftheBidderconcerned.

6.3. The Bidder is expected to examine all instructions, forms, terms, andspecificationsintheBiddingDocuments.

6.4. ItshallbethesoleresponsibilityoftheBiddertodetermineandtosatisfyitselfbysuchmeansasitconsidersnecessaryordesirableastoallmatterspertaining to the contract to be bid, including: (a) the location and the

natureof thisProject; (b)climaticconditions; (c) transportation facilities;and(d)otherfactorsthatmayaffectthecost,duration,andexecutionorimplementationofthisProject.

6.5. TheTourism Promotions Board (TPB) shall not assume any responsibilityregardingerroneous interpretationsor conclusionsby theprospectiveoreligiblebidderoutofthedatafurnishedbytheprocuringentity.However,the Procuring Entity shall ensure that all information in the BiddingDocuments, including bid/supplemental bid bulletin/s issued, are correctandconsistent.

6.6. Beforesubmittingtheirbids,theBidderisdeemedtohavebecomefamiliarwith all existing laws, decrees, ordinances, acts and regulations of thePhilippineswhichmayaffectthisProjectinanyway.

6.7. The Bidder shall bear all costs associated with the preparation andsubmissionofhisbid,andtheTourismPromotionsBoard(TPB)will innocaseberesponsibleorliableforthosecosts,regardlessoftheconductoroutcomeofthebiddingprocess.

6.8. The Bidder should note that the Tourism Promotions Board (TPB) willaccept bids only from those that have paid the applicable fee for theBiddingDocumentsattheofficeindicatedintheInvitationtoBid.

7. OriginofGoods

Unless otherwise indicated in the BDS, there is no restriction on the origin ofgoodsother than thoseprohibitedby adecisionof theUnitedNationsSecurityCouncil takenunderChapterVIIoftheCharteroftheUnitedNations,subjecttoITBClause27.1.

8. Subcontracts

8.1. Unless otherwise specified in the BDS, the Bidder may subcontractportions of theGoods to an extent asmay be approved by theTourismPromotionsBoard(TPB)andstatedintheBDS. However,subcontractingofanyportionshallnot relieve theBidder fromany liabilityorobligationthatmayarisefromthecontractforthisProject.

8.2. Subcontractors must comply with the eligibility criteria and thedocumentary requirements specified in the BDS. In the event that anysubcontractor is found by the Tourism Promotions Board (TPB) to beineligible, the subcontracting of such portion of the Goods shall bedisallowed.

8.3. TheBiddermayidentifythesubcontractortowhomaportionoftheGoodswill be subcontracted at any stage of the bidding process or duringcontract implementation. IftheBidderoptstodisclosethenameofthe

subcontractorduringbidsubmission,theBiddershallincludetherequireddocumentsaspartofthetechnicalcomponentofitsbid.

B. ContentsofBiddingDocuments

9. Pre-BidConference

9.1. (a) If so specified in the BDS, a pre-bid conference shall be held at thevenueandonthedateindicatedtherein,toclarifyandaddresstheBidders’questionsonthetechnicalandfinancialcomponentsofthisProject.

(b)Thepre-bidconferenceshallbeheldatleasttwelve(12)calendardaysbeforethedeadlineforthesubmissionandreceiptofbids,butnotearlierthan seven (7) calendar days from the posting of the invitation tobid/biddingdocumentsinthePhilGEPSwebsite.IftheTourismPromotionsBoard (TPB) determines that, by reason of the method, nature, orcomplexityof the contract tobebid, orwhen international participationwillbemoreadvantageoustotheGOP,alongerperiodforthepreparationofbidsisnecessary,thepre-bidconferenceshallbeheldatleastthirty(30)calendardaysbeforethedeadlineforthesubmissionandreceiptofbids,asspecifiedintheBDS.

9.2. Bidders are encouraged to attend the pre-bid conference to ensure thattheyfullyunderstandtheTourismPromotionBoard(TPB)’srequirements.Non-attendanceoftheBidderwillinnowayprejudiceitsbid;however,theBidder is expected to know the changes and/or amendments to theBiddingDocumentsasrecorded intheminutesofthepre-bidconferenceandtheSupplemental/BidBulletin.Theminutesofthepre-bidconferenceshallberecordedandpreparednot laterthanfive(5)calendardaysafterthepre-bidconference.Theminutesshallbemadeavailabletoprospectivebiddersnotlaterthanfive(5)daysuponwrittenrequest.

9.3 Decisions of the TPB-BAC amending any provision of the biddingdocumentsshallbe issued inwritingthroughaSupplemental/BidBulletinatleastseven(7)calendardaysbeforethedeadlineforthesubmissionandreceiptofbids.

10. ClarificationandAmendmentofBiddingDocuments

10.1. Prospectivebiddersmayrequestforclarificationonand/or interpretationofanypartoftheBiddingDocuments.SuchrequestmustbeinwritingandsubmittedtotheTourismPromotionsBoard(TPB)attheaddressindicatedintheBDSat least ten(10)calendardaysbeforethedeadlineset for thesubmissionandreceiptofBids.

10.2. The TPB-BAC shall respond to the said request by issuing aSupplemental/Bid Bulletin, to be made available to all those who have

properlysecuredtheBiddingDocuments,atleastseven(7)calendardaysbeforethedeadlineforthesubmissionandreceiptofBids.

10.3. Supplemental/Bid Bulletins may also be issued upon the TourismPromotionsBoard(TPB)’s initiativeforpurposesofclarifyingormodifyinganyprovisionoftheBiddingDocumentsnotlaterthanseven(7)calendardays before the deadline for the submission and receipt of Bids. Anymodification to the Bidding Documents shall be identified as anamendment.

10.4. AnySupplemental/BidBulletin issuedbytheTPB-BACshallalsobepostedinthePhilGEPSandthewebsiteoftheTourismPromotionsBoard(TPB)’sconcerned,ifavailable,andatanyconspicuousplaceinthepremisesoftheTourismPromotionsBoard(TPB)concerned.ItshallbetheresponsibilityofallBidderswhohaveproperly secured theBiddingDocuments to inquireandsecureSupplemental/BidBulletinsthatmaybeissuedbytheTPB-BAC.However, Bidders who have submitted bids before the issuance of theSupplemental/Bid Bulletin must be informed and allowed to modify orwithdrawtheirbidsinaccordancewithITBClause23.

C. PreparationofBids

11. LanguageofBid

Theeligibilityrequirementsorstatements,thebids,andallotherdocumentstobesubmitted to the BAC must be in English. If the eligibility requirements orstatements, thebids, and all other documents submitted to theTPB-BAC are inforeign languageotherthanEnglish, itmustbeaccompaniedbyatranslationofthe documents in English. The documents shall be translated by the relevantforeign government agency, the foreign government agency authorized totranslate documents, or a registered translator in the foreign bidder’s country;and shall be authenticated by the appropriate Philippine foreign serviceestablishment/post or the equivalent office having jurisdiction over the foreignbidder’s affairs in the Philippines. The English translation shall govern, forpurposesofinterpretationofthebid.

12. DocumentsComprisingtheBid:EligibilityandTechnicalComponents

12.1. UnlessotherwiseindicatedintheBDS,thefirstenvelopeshallcontainthefollowingeligibilityandtechnicaldocuments:

(a) EligibilityDocuments–

Class“A”Documents:

(i) PhilGEPS Certificate of Registration and Membership inaccordancewithSection8.5.2oftheIRR,exceptforforeignbidders participating in the procurement by a PhilippineForeign Service Office or Post, which shall submit their

(ii) Statement of all its ongoing government and privatecontracts,includingcontractsawardedbutnotyetstarted,ifany,whethersimilarornotsimilarinnatureandcomplexitytothecontracttobebid;and

StatementoftheBidder’sSLCCsimilartothecontracttobebid, in accordancewith ITB Clause 5.4, within the relevantperiodasprovidedintheBDS.

Thetwostatementsrequiredshallindicateforeachcontractthefollowing:

(ii.1) nameofthecontract;

(ii.2) dateofthecontract;

(ii.3) contractduration;

(ii.4) owner’snameandaddress;

(ii.5) kindsofGoods;

(ii.6) For Statement of Ongoing Contracts - amount ofcontractandvalueofoutstandingcontracts;

(ii.7) For Statement of SLCC - amount of completedcontracts, adjusted by the Bidder to current pricesusingPSA’sconsumerpriceindex,ifnecessaryforthepurposeofmeetingtheSLCCrequirement;

(ii.8) dateofdelivery;and

(ii.9) end user’s acceptance or official receipt(s) or salesinvoice issued for the contract, if completed,whichshallbeattachedtothestatements.

(iii) NFCC computation in accordance with ITB Clause 5.5 or acommitted Line of Credit from a universal or commercialbank.

Class“B”Document:

(iv) Ifapplicable,theJointVentureAgreement(JVA)incasethejoint venture is already in existence, or duly notarizedstatements from all the potential joint venture partners inaccordancewithSection23.1(b)oftheIRR.

(b) TechnicalDocuments–

(i) BidsecurityinaccordancewithITBClause12.1.IftheBidderoptstosubmitthebidsecurityintheformof:

(i.1) a bank draft/guarantee or an irrevocable letter ofcredit issued by a foreign bank, it shall beaccompanied by a confirmation from a Universal orCommercialBank;or

(i.2) a surety bond, it shall be accompanied by acertification by the Insurance Commission that thesurety or insurance company is authorized to issuesuchinstruments;

(ii) Conformitywithtechnicalspecifications,asenumeratedandspecified in Sections VI and VII of the Bidding Documents;and

(iii) SwornstatementinaccordancewithSection25.3oftheIRRof RA 9184 and using the form prescribed in Section VIII.BiddingForms.

(iv) For foreign bidders claiming eligibility by reason of theircountry’s extension of reciprocal rights to Filipinos, acertification from the relevant government office of theircountry stating that Filipinos are allowed to participate intheirgovernmentprocurementactivities for thesame itemorproduct.

13. DocumentsComprisingtheBid:FinancialComponent

13.1. Unless otherwise stated in theBDS, the financial component of the bidshallcontainthefollowing:

(a) Financial Bid Form, which includes bid prices and the applicablePriceSchedules,inaccordancewithITBClauses15.1and15.4;

(b) IftheBidderclaimspreferenceasaDomesticBidder,acertificationfrom the DTI issued in accordance with ITB Clause 27, unlessotherwiseprovidedintheBDS;and

(c) AnyotherdocumentrelatedtothefinancialcomponentofthebidasstatedintheBDS.

13.2. (a)UnlessotherwisestatedintheBDS,allbidsthatexceedtheABCshallnotbeaccepted.

(b) Unless otherwise indicated in the BDS, for foreign-fundedprocurement, a ceilingmay be applied to bid prices provided thefollowingconditionsaremet:

(i) BiddingDocuments are obtainable free of charge on a freelyaccessible website. If payment of Bidding Documents isrequired by the procuring entity, payment could be madeuponthesubmissionofbids.

(ii)TheTourismPromotionsBoard(TPB)hasproceduresinplacetoensurethattheABCisbasedonrecentestimatesmadebytheresponsibleunitoftheprocuringentityandthattheestimatesreflect the quality, supervision and risk and inflationaryfactors, as well as prevailing market prices, associated withthetypesofworksorgoodstobeprocured.

(iii) The Tourism Promotions Board (TPB) has trained costestimatorsonestimatingpricesandanalyzingbidvariances.

(iv)TheTourismPromotionsBoard(TPB)hasestablishedasystemto monitor and report bid prices relative to ABC andengineer’s/procuringentity’sestimate.

(v) The Tourism Promotions Board (TPB) has established amonitoring and evaluation system for contractimplementationtoprovideafeedbackonactualtotalcostsofgoodsandworks.

14. AlternativeBids

14.1 Alternative Bids shall be rejected. For this purpose, alternative bid is anoffer made by a Bidder in addition or as a substitute to its original bidwhichmaybe includedaspartof itsoriginalbidor submitted separatelytherewith for purposes of bidding. A bid with options is considered analternative bid regardless ofwhether said bid proposal is contained in asingleenvelopeorsubmittedintwo(2)ormoreseparatebidenvelopes.

14.2 EachBiddershallsubmitonlyoneBid,eitherindividuallyorasapartnerinaJV.ABidderwhosubmitsorparticipatesinmorethanonebid(otherthanas a subcontractor if a subcontractor is permitted toparticipate inmorethanonebid)willcausealltheproposalswiththeBidder’sparticipationtobedisqualified.This shallbewithoutprejudice toanyapplicablecriminal,civil andadministrativepenalties thatmaybe imposedupon thepersonsandentitiesconcerned.

15. BidPrices

15.1. The Bidder shall complete the appropriate Schedule of Prices includedherein, stating theunitprices, totalpriceper item, the totalamountand

the expected countries of origin of the Goods to be supplied under thisProject.

15.2. TheBiddershallfillinratesandpricesforallitemsoftheGoodsdescribedin the Schedule of Prices. Bids not addressing or providing all of therequired items in the Bidding Documents including, where applicable,Schedule of Prices, shall be considered non-responsive and, thus,automatically disqualified. In this regard, where a required item isprovided,butnoprice is indicated, the sameshallbe consideredasnon-responsive,butspecifyingazero(0)oradash(-)forthesaid itemwouldmean that it is being offered for free to the Government, except thoserequiredbylaworregulationstobeaccomplished.

15.3. The terms ExWorks (EXW), Cost, Insurance and Freight (CIF), Cost andInsurancePaidto(CIP),DeliveredDutyPaid(DDP),andothertradetermsused todescribe theobligationsof theparties, shall begovernedby therules prescribed in the current edition of the International CommercialTerms (INCOTERMS) published by the International Chamber ofCommerce,Paris.

15.4. Prices indicatedon the Price Schedule shall be entered separately in thefollowingmanner:

(a) For Goods offered from within the Tourism Promotions Board(TPB)’scountry:

(i) ThepriceoftheGoodsquotedEXW(exworks,exfactory,exwarehouse,exshowroom,oroff-the-shelf,asapplicable);

(ii) The cost of all customs duties and sales and other taxesalreadypaidorpayable;

(iii) The cost of transportation, insurance, and other costsincidentaltodeliveryoftheGoodstotheirfinaldestination;and

(iv) Theprice of other (incidental) services, if any, listed in theBDS.

(b) ForGoodsofferedfromabroad:

(i) Unlessotherwisestated intheBDS, thepriceof theGoodsshall be quoted DDP with the place of destination in thePhilippinesasspecifiedintheBDS.Inquotingtheprice,theBidder shall be free to use transportation through carriersregistered inanyeligiblecountry. Similarly,theBiddermayobtaininsuranceservicesfromanyeligiblesourcecountry.

(c) For Services, based on the formwhichmay be prescribed by theTourismPromotionsBoard(TPB),inaccordancewithexistinglaws,rulesandregulations

15.5. PricesquotedbytheBiddershallbefixedduringtheBidder’sperformanceof the contract and not subject to variation or price escalation on anyaccount. A bid submitted with an adjustable price quotation shall betreatedasnon-responsiveandshallberejected,pursuanttoITBClause24.

Allbidpricesforthegivenscopeofworkinthecontractasawardedshallbeconsideredasfixedprices,andthereforenotsubjecttopriceescalationduring contract implementation, except under extraordinarycircumstances. Upon the recommendation of the Tourism PromotionsBoard (TPB), price escalation may be allowed in extraordinarycircumstances as may be determined by the National Economic andDevelopment Authority in accordance with the Civil Code of thePhilippines,anduponapprovalbytheGPPB.Nevertheless,incaseswherethecostof theawardedcontract isaffectedbyanyapplicablenew laws,ordinances, regulations,orotheractsof theGOP,promulgatedafter thedate of bid opening, a contract price adjustment shall be made orappropriatereliefshallbeappliedonanoloss-nogainbasis.

16. BidCurrencies

16.1. Pricesshallbequotedinthefollowingcurrencies:

(a) ForGoods that theBidderwill supply fromwithin thePhilippines,thepricesshallbequotedinPhilippinePesos.

(b) ForGoodsthattheBidderwillsupplyfromoutsidethePhilippines,the pricesmay be quoted in the currency(ies) stated in theBDS.However, for purposes of bid evaluation, bids denominated inforeigncurrencies shallbeconverted toPhilippinecurrencybasedontheexchangerateaspublishedintheBangkoSentralngPilipinas(BSP)referenceratebulletinonthedayofthebidopening.

16.2. If soallowed inaccordancewith ITBClause 16.1, theTourismPromotionsBoard (TPB) forpurposesofbidevaluationandcomparing thebidpriceswill convert the amounts in various currencies in which the bid price isexpressedtoPhilippinePesosattheforegoingexchangerates.

16.3. UnlessotherwisespecifiedintheBDS,paymentofthecontractpriceshallbemadeinPhilippinePesos.

17. BidValidity

17.1. Bidsshall remainvalidfortheperiodspecified intheBDSwhichshallnotexceed one hundred twenty (120) calendar days from the date of theopeningofbids.

17.2. In exceptional circumstances, prior to the expiration of the bid validityperiod, the Tourism Promotions Board (TPB) may request Bidders toextendtheperiodofvalidityoftheirbids.Therequestandtheresponsesshallbemadeinwriting.ThebidsecuritydescribedinITBClause18shouldalsobeextendedcorrespondingtotheextensionofthebidvalidityperiodat the least. A Bidder may refuse the request without forfeiting its bidsecurity, but his bid shall no longer be considered for further evaluationand award. A Bidder granting the request shall not be required orpermittedtomodifyitsbid.

18. BidSecurity

18.1. The Bidder shall submit a Bid Securing Declaration or any form of BidSecurityintheamountstatedintheBDS,whichshallbenotlessthanthepercentageoftheABCinaccordancewiththefollowingschedule:

(c) Surety bond callable upondemand issued by a surety orinsurancecompanydulycertifiedby the Insurance Commission asauthorizedtoissuesuchsecurity.

Fivepercent(5%).

The Bid Securing Declaration mentioned above is an undertaking whichstates, among others, that the Bidder shall enter into contract with theprocuringentityandfurnishtheperformancesecurityrequiredunder ITBClause 33.2, within ten (10) calendar days from receipt of the Notice ofAward, and commits to pay the corresponding amount as fine, and besuspended foraperiodof time frombeingqualified toparticipate inanygovernment procurement activity in the event it violates any of theconditionsstatedthereinasprovidedintheguidelinesissuedbytheGPPB.

18.2. Thebidsecurityshouldbevalid for theperiodspecified in theBDS. AnybidnotaccompaniedbyanacceptablebidsecurityshallberejectedbytheTourismPromotionsBoard(TPB)asnon-responsive.

18.3. NobidsecuritiesshallbereturnedtoBiddersaftertheopeningofbidsandbefore contract signing, except to those that failed or declared as post-disqualified, upon submission of a written waiver of their right to file arequest for reconsideration and/or protest, or upon the lapse of thereglementary period to file a request for reconsideration or protest.Without prejudice on its forfeiture, bid securities shall be returned onlyafter the Bidder with the Lowest Calculated Responsive Bid (LCRB) hassignedthecontractandfurnishedtheperformancesecurity,butinnocaselaterthantheexpirationofthebidsecurityvalidityperiodindicatedinITBClause0.

18.4. UponsigningandexecutionofthecontractpursuanttoITBClause32,andthe posting of the performance security pursuant to ITB Clause 33, thesuccessfulBidder’sbidsecuritywillbedischarged,butinnocaselaterthanthebidsecurityvalidityperiodasindicatedintheITBClause0.

18.5. Thebidsecuritymaybeforfeited:

(a) ifaBidder:

(i) withdraws itsbidduring theperiodofbidvalidityspecifiedinITBClause17;

(ii) does not accept the correction of errors pursuant to ITBClause28.3(b);

(iii) has a finding against the veracityof anyof thedocumentssubmittedasstatedinITBClause29.2;

(iv) submission of eligibility requirements containing falseinformationorfalsifieddocuments;

(v) submissionofbidsthatcontainfalseinformationorfalsifieddocuments, or the concealment of such information in thebidsinordertoinfluencetheoutcomeofeligibilityscreeningoranyotherstageofthepublicbidding;

(vi) allowing the use of one’s name, or using the name ofanotherforpurposesofpublicbidding;

(vii) withdrawalofabid,orrefusaltoacceptanaward,orenterintocontractwiththeGovernmentwithoutjustifiablecause,aftertheBidderhadbeenadjudgedashavingsubmittedtheLCRB;

(viii) refusalor failuretoposttherequiredperformancesecuritywithintheprescribedtime;

(ix) refusal to clarify or validate in writing its bid during post-qualificationwithinaperiodofseven(7)calendardaysfromreceiptoftherequestforclarification;

(x) any documented attempt by a Bidder to unduly influencetheoutcomeofthebiddinginhisfavor;

(xi) failureof thepotential joint venturepartners to enter intothejointventureafterthebidisdeclaredsuccessful;or

(xii) all other acts that tend to defeat the purpose of thecompetitive bidding, such as habitually withdrawing frombidding,submittinglateBidsorpatentlyinsufficientbid,forat least three (3) times within a year, except for validreasons.

(b) ifthesuccessfulBidder:

(i) failstosignthecontractinaccordancewithITBClause32;or

(ii) failstofurnishperformancesecurityinaccordancewithITBClause33.

19. FormatandSigningofBids

19.1. Bidders shall submit their bids through their duly authorizedrepresentative using the appropriate forms provided in Section VIII.

BiddingFormsonorbeforethedeadlinespecifiedintheITBClauses21 intwo (2) separate sealed bid envelopes, and which shall be submittedsimultaneously.Thefirstshallcontainthetechnicalcomponentofthebid,includingtheeligibilityrequirementsunderITBClause12.1,andthesecondshall contain the financial component of the bid. This shall also beobservedforeachlotinthecaseoflotprocurement.

19.2. Forms as mentioned in ITB Clause 19.1 must be completed without anyalterations to their format, andno substitute form shall be accepted.Allblankspacesshallbefilledinwiththeinformationrequested.

19.3. The Bidder shall prepare and submit an original of the first and secondenvelopesasdescribedinITBClauses0and13.Inaddition,theBiddershallsubmit copies of the first and second envelopes. In the event of anydiscrepancybetweentheoriginalandthecopies,theoriginalshallprevail.

19.4. Each and every page of the Bid Form, including the Schedule of Prices,under Section VIII hereof, shall be signed by the duly authorizedrepresentative/sof theBidder. Failure todo so shallbeaground for therejectionofthebid.

19.5. Any interlineations,erasures,oroverwritingshallbevalidonly if theyaresignedorinitialedbythedulyauthorizedrepresentative/softheBidder.

20. SealingandMarkingofBids

20.1. Bidders shall enclose their original eligibility and technical documentsdescribed in ITB Clause 0 in one sealed envelope marked “ORIGINAL -TECHNICALCOMPONENT”,andtheoriginaloftheirfinancialcomponentinanothersealedenvelopemarked“ORIGINAL -FINANCIALCOMPONENT”,sealingthemallinanouterenvelopemarked“ORIGINALBID”.

20.2. Eachcopyofthefirstandsecondenvelopesshallbesimilarlysealeddulymarkingtheinnerenvelopesas“COPYNO._1__-TECHNICALCOMPONENT”and“COPYNO._1__–FINANCIALCOMPONENT”andtheouterenvelopeas“COPY NO. 1___”, respectively. These envelopes containing the originalandthecopiesshallthenbeenclosedinonesingleenvelope.

20.3. Theoriginaland thenumberofcopiesof theBidas indicated in theBDSshallbetypedorwrittenininkandshallbesignedbytheBidderoritsdulyauthorizedrepresentative/s.

20.4. Allenvelopesshall:

(a) containthenameofthecontracttobebidincapitalletters;

(b) bearthenameandaddressoftheBidderincapitalletters;

(d) bear the specific identificationof thisbiddingprocess indicated intheITBClause1.2;and

(e) bearawarning“DONOTOPENBEFORE…”thedateand time fortheopeningofbids,inaccordancewithITBClause21.

20.5. Bidenvelopesthatarenotproperlysealedandmarked,asrequired inthebidding documents, shall not be rejected, but the Bidder or its dulyauthorized representative shall acknowledge such condition of the bid assubmitted.TheBACor theProcuringEntity shall assumeno responsibilityfor themisplacementof the contentsof the improperly sealedormarkedbid,orforitsprematureopening.

D. SubmissionandOpeningofBids

21. DeadlineforSubmissionofBids

Bids must be received by the Tourism Promotions Board (TPB)’s BAC at theaddressandonorbeforethedateandtimeindicatedintheBDS.

22. LateBids

Anybidsubmittedafterthedeadlineforsubmissionandreceiptofbidsprescribedby the Tourism Promotions Board (TPB), pursuant to ITB Clause 21, shall bedeclared “Late” and shall not be accepted by the Tourism Promotions Board(TPB). The BAC shall record in theminutes of bid submission and opening, theBidder’sname,itsrepresentativeandthetimethelatebidwassubmitted.

23. ModificationandWithdrawalofBids

23.1. TheBiddermaymodify itsbidafter ithasbeensubmitted;provided thatthemodificationisreceivedbytheTourismPromotionsBoard(TPB),priortothedeadlineprescribedforsubmissionandreceiptofbids.TheBiddershall not be allowed to retrieve its original bid, but shall be allowed tosubmit another bid equally sealed and properly identified in accordancewith ITB Clause 20, linked to its original bid marked as “TECHNICALMODIFICATION”or“FINANCIALMODIFICATION”andstamped“received”by theBAC.Bidmodifications receivedafter theapplicabledeadlineshallnotbeconsideredandshallbereturnedtotheBidderunopened.

23.2 ABiddermay,throughaLetterofWithdrawal,withdrawitsbidafterithasbeensubmitted,forvalidandjustifiablereason;providedthattheLetterofWithdrawal is received by the Tourism Promotions Board (TPB), to thedeadline prescribed for submission and receipt of bids. The Letter ofWithdrawalmustbeexecutedbythedulyauthorizedrepresentativeofthe

BidderidentifiedintheOmnibusSwornStatement,acopyofwhichshouldbeattachedtotheletter.

23.3. BidsrequestedtobewithdrawninaccordancewithITBClause23.1shallbereturnedunopenedtotheBidders.ABidder,whohasacquiredthebiddingdocuments,mayalsoexpressitsintentionnottoparticipateinthebiddingthroughaletterwhichshouldreachandbestampedbytheBACbeforethedeadlineforsubmissionandreceiptofbids.ABidderthatwithdrawsitsbidshallnotbepermittedtosubmitanotherbid,directlyorindirectly,forthesamecontract.

23.4. Nobidmaybemodifiedafterthedeadlineforsubmissionofbids.NobidmaybewithdrawnintheintervalbetweenthedeadlineforsubmissionofbidsandtheexpirationoftheperiodofbidvalidityspecifiedbytheBidderon the Financial Bid Form. Withdrawal of a bid during this interval shallresultintheforfeitureoftheBidder’sbidsecurity,pursuanttoITBClause18.5, and the imposition of administrative, civil and criminal sanctions asprescribedbyRA9184anditsIRR.

24. OpeningandPreliminaryExaminationofBids

24.1. TheBACshallopen thebids inpublic, immediatelyafter thedeadline forthesubmissionandreceiptofbids,asspecifiedintheBDS.IncasetheBidscannot be opened as scheduled due to justifiable reasons, the BAC shalltakecustodyoftheBidssubmittedandrescheduletheopeningofBidsonthenextworkingdayoratthesoonestpossibletimethroughtheissuanceofaNoticeofPostponementtobepostedinthePhilGEPSwebsiteandthewebsiteoftheTourismPromotionsBoard(TPB),concerned.

24.2. Unless otherwise specified in the BDS, the BAC shall open the first bidenvelopes and determine each Bidder’s compliancewith the documentsprescribedinITBClause0,usinganon-discretionary“pass/fail”criterion.IfaBiddersubmitstherequireddocument,itshallberated“passed”forthatparticular requirement. In this regard, bids that fail to include anyrequirementorareincompleteorpatentlyinsufficientshallbeconsideredas “failed”. Otherwise, the BAC shall rate the said first bid envelope as“passed”.

24.3. Unless otherwise specified in the BDS, immediately after determiningcompliance with the requirements in the first envelope, the BAC shallforthwithopenthesecondbidenvelopeofeachremainingeligiblebidderwhose first bid envelope was rated “passed”. The second envelope ofeachcomplyingbiddershallbeopenedwithinthesameday.Incaseoneormore of the requirements in the second envelope of a particular bid ismissing, incompleteorpatently insufficient, and/or if the submitted totalbidpriceexceedstheABCunlessotherwiseprovidedinITBClause13.2,theBACshallratethebidconcernedas“failed”.Onlybidsthataredeterminedto contain all the bid requirements for both components shall be rated

“passed” and shall immediately be considered for evaluation andcomparison.

24.4. LettersofWithdrawalshallbereadoutandrecordedduringbidopening,and the envelope containing the corresponding withdrawn bid shall bereturnedtotheBidderunopened.

24.5. All members of the BAC who are present during bid opening shall initialeverypageoftheoriginalcopiesofallbidsreceivedandopened.

24.6. In thecaseofaneligible foreignbidderasdescribed in ITB Clause5, thefollowingClass “A”Documentsmaybe substitutedwith the appropriateequivalentdocuments, ifany, issuedbythecountryoftheforeignBidderconcerned, which shall likewise be uploaded and maintained in thePhilGEPSinaccordancewithSection8.5.2oftheIRR:

(a) RegistrationcertificatefromtheSecuritiesandExchangeCommission(SEC),DepartmentofTradeandIndustry(DTI)forsoleproprietorship,orCDAforcooperatives;

(b) Mayor’s/Business permit issued by the local government where theprincipalplaceofbusinessofthebidderislocated;and

(c) AuditedFinancialStatementsshowing,amongothers,theprospectivebidder’stotalandcurrentassetsandliabilitiesstamped“received”bytheBureauof InternalRevenueor itsdulyaccreditedandauthorizedinstitutions, for the preceding calendar year which should not beearlierthantwoyearsfromthedateofbidsubmission.

24.7. Each partner of a joint venture agreement shall likewise submit therequirements in ITB Clause 12.1(a)(i). Submission of documents requiredunder ITB Clauses 12.1(a)(ii) to 12.1(a)(iii) by any of the joint venturepartnersconstitutescompliance.

24.8. The Tourism Promotions Board (TPB) shall prepare the minutes of theproceedingsofthebidopeningthatshallinclude,asaminimum:(a)namesofBidders,theirbidprice(perlot,ifapplicable,and/orincludingdiscount,if any), bid security, findings of preliminary examination, and whetherthere isawithdrawalormodification;and(b)attendancesheet.TheBACmembersshallsigntheabstractofbidsasread.

24.8 The bidders or their duly authorized representatives may attend theopening of bids. The BAC shall ensure the integrity, security, andconfidentialityofall submittedbids.TheAbstractofBidsas readand theminutes of the bid opening shall be made available to the public uponwrittenrequestandpaymentofaspecifiedfeetorecovercostofmaterials.

24.9 Toensuretransparencyandaccuraterepresentationofthebidsubmission,the BAC Secretariat shall notify in writing all bidders whose bids it has

receivedthroughitsPhilGEPS-registeredphysicaladdressorofficiale-mailaddress.Thenoticeshallbeissuedwithinseven(7)calendardaysfromthedateofthebidopening.

E. EvaluationandComparisonofBids

25. ProcesstobeConfidential

25.1. Members of the BAC, including its staff and personnel, as well as itsSecretariatandTWG,areprohibitedfrommakingoracceptinganykindofcommunicationwithanybidderregardingtheevaluationoftheirbidsuntiltheissuanceoftheNoticeofAward,unlessotherwiseallowedinthecaseofITBClause26.

25.2. Any effort by a bidder to influence the Procuring Entity in the TourismPromotions Board (TPB’s) decision in respect of bid evaluation, bidcomparison or contract awardwill result in the rejection of the Bidder’sbid.

26. ClarificationofBids

To assist in the evaluation, comparison, and post-qualification of the bids, theTourismPromotionsBoard(TPB)mayaskinwritinganyBidderforaclarificationof its bid. All responses to requests for clarification shall be in writing. AnyclarificationsubmittedbyaBidderinrespecttoitsbidandthatisnotinresponsetoarequestbytheTourismPromotionsBoard(TPB)shallnotbeconsidered.

27. DomesticPreference

27.1. UnlessotherwisestatedintheBDS,theTourismPromotionsBoard(TPB),willgrantamarginofpreferenceforthepurposeofcomparisonofbidsinaccordancewiththefollowing:

(a) The preference shall be applied when the lowest Foreign Bid islowerthanthelowestbidofferedbyaDomesticBidder.

(b) Forevaluationpurposes,the lowestForeignBidshallbe increasedbyfifteenpercent(15%).

(c) IntheeventthatthelowestbidofferedbyaDomesticBidderdoesnotexceed the lowestForeignBidas increased, then theTourismPromotionsBoard(TPB),shallawardthecontracttotheDomesticBidderattheamountofthelowestForeignBid.

(d) If theDomesticBidder refuses toaccept theawardofcontractatthe amount of the ForeignBidwithin two (2) calendar days fromreceipt of written advice from the BAC, the Tourism PromotionsBoard (TPB), shall award to the bidder offering the Foreign Bid,

subjecttopost-qualificationandsubmissionofallthedocumentaryrequirementsundertheseBiddingDocuments.

27.2. ABiddermaybegrantedpreferenceasaDomesticBiddersubject to thecertification from the DTI that the Bidder is offering unmanufacturedarticles, materials or supplies of the growth or production of thePhilippines,ormanufacturedarticles,materials,orsuppliesmanufacturedor to be manufactured in the Philippines substantially from articles,materials, or supplies of the growth, production, ormanufacture, as thecasemaybe,ofthePhilippines.

28. DetailedEvaluationandComparisonofBids

28.1. The Tourism Promotions Board (TPB), will undertake the detailedevaluation and comparison of bids which have passed the opening andpreliminary examination of bids, pursuant to ITB Clause 24, in order todeterminetheLowestCalculatedBid.

28.2. TheLowestCalculatedBidshallbedeterminedintwosteps:

(a) Thedetailedevaluationof the financial componentof thebids, toestablishthecorrectcalculatedpricesofthebids;and

(b) Therankingofthetotalbidpricesassocalculatedfromthelowestto thehighest.Thebidwith the lowestpriceshallbe identifiedastheLowestCalculatedBid.

28.3. TheTPB’sBAC shall immediatelyconductadetailedevaluationofallbidsrated “passed,” using non-discretionary pass/fail criteria. The BAC shallconsiderthefollowingintheevaluationofbids:

(a) Completeness of the bid. Unless theBDS allows partial bids, bidsnotaddressingorprovidingalloftherequireditemsintheScheduleof Requirements including, where applicable, Schedule of Prices,shall be considered non-responsive and, thus, automaticallydisqualified. In this regard,wherea required item isprovided,butno price is indicated, the same shall be considered as non-responsive,butspecifyingazero(0)oradash(-)forthesaiditemwouldmeanthatitisbeingofferedforfreetotheProcuringEntity,exceptthoserequiredbylaworregulationstobeprovidedfor;and

28.4. Based on the detailed evaluation of bids, those that comply with theabove-mentionedrequirementsshallberanked in theascendingorderoftheir total calculated bid prices, as evaluated and corrected forcomputational errors, discounts and other modifications, to identify theLowest Calculated Bid. Total calculated bid prices, as evaluated andcorrected for computational errors, discounts and other modifications,whichexceedtheABCshallnotbeconsidered,unlessotherwiseindicatedintheBDS.

28.5. TheTourismPromotionsBoard(TPB)’sevaluationofbidsshallbebasedonthebidpricequotedintheBidForm,whichincludestheScheduleofPrices.

28.6. Bidsshallbeevaluatedonanequalfootingtoensurefaircompetition.Forthispurpose,allbiddersshallberequiredtoincludeintheirbidsthecostofall taxes, suchas,butnot limited to, valueadded tax (VAT), income tax,localtaxes,andotherfiscalleviesanddutieswhichshallbeitemizedinthebidformandreflectedinthedetailedestimates.Suchbids,includingsaidtaxes,shallbethebasisforbidevaluationandcomparison.

28.7. If so indicated pursuant to ITB Clause 1.2, Bids are being invited forindividual lotsor for any combination thereof, provided that all Bids andcombinationsofBidsshallbe receivedby thesamedeadlineandopenedandevaluatedsimultaneouslysoastodeterminetheBidorcombinationofBidsofferingthelowestcalculatedcosttotheTourismPromotionsBoard(TPB),.Bidpricesquotedshallcorrespondtoallitemsspecifiedforeachlotand to all quantities specified for each item of a lot. 29. Post-Qualification

29.1. The BAC shall determine to its satisfaction whether the Bidder that isevaluated as having submitted the Lowest Calculated Bid complies withand is responsive to all the requirements and conditions specified in ITBClauses5,0,and13.

29.2. Within a non-extendible period of five (5) calendar days from receipt bythe bidder of the notice from the BAC that it submitted the LowestCalculatedBid, theBiddershall submit its latest incomeandbusiness taxreturns filed and paid through the BIR Electronic Filing and PaymentSystem(eFPS)andotherappropriatelicensesandpermitsrequiredbylawandstatedintheBDS.

Failuretosubmitanyofthepost-qualificationrequirementsontime,orafindingagainst theveracity thereof,shalldisqualify thebidder foraward.Provided in the event that a finding against the veracity of any of thedocuments submitted is made, it shall cause the forfeiture of the bidsecurityinaccordancewithSection69oftheIRRofRA9184.

29.3. The determination shall be based upon an examination of thedocumentaryevidenceoftheBidder’squalificationssubmittedpursuanttoITB Clauses 0 and 13, as well as other information as the TourismPromotions Board (TPB), deemsnecessary and appropriate, using a non-discretionary “pass/fail” criterion, which shall be completed within aperiodoftwelve(12)calendardays.

29.4. If the BAC determines that the Bidder with the Lowest Calculated Bidpassesall thecriteriaforpost-qualification, itshalldeclarethesaidbidastheLCRB,andrecommendtotheHoPEtheawardofcontracttothesaidBidderatitssubmittedpriceoritscalculatedbidprice,whicheverislower.

29.5. A negative determination shall result in rejection of the Bidder’s Bid, inwhich event the Tourism Promotions Board (TPB), shall proceed to thenext Lowest Calculated Bid with a fresh period to make a similardeterminationofthatBidder’scapabilitiestoperformsatisfactorily. IfthesecondBidder,however,failsthepostqualification,theprocedureforpostqualification shall be repeated for the Bidder with the next LowestCalculated Bid, and so on until the LCRB is determined forrecommendationforcontractaward.

29.6. Within a period not exceeding fifteen (15) calendar days from thedeterminationbytheBACoftheLCRBandtherecommendationtoawardthecontract,theHoPEorhisdulyauthorizedrepresentativeshallapproveordisapprovethesaidrecommendation.

29.7. Intheeventofdisapproval,whichshallbebasedonvalid,reasonable,andjustifiablegroundsasprovidedforunderSection41oftheIRRofRA9184,theHoPE shall notify theBAC and theBidder inwritingof suchdecisionand the grounds for it. When applicable, the BAC shall conduct a post-qualificationoftheBidderwiththenextLowestCalculatedBid.ArequestforreconsiderationmaybefiledbythebidderwiththeHoPEinaccordancewithSection37.1.3oftheIRRofRA9184.

30. ReservationClause

30.1. Notwithstanding the eligibility or post-qualification of a Bidder, theTourismPromotionsBoard(TPB)concernedreservestherighttoreviewitsqualificationsatanystageoftheprocurementprocessifithasreasonablegrounds to believe that amisrepresentation has beenmade by the saidBidder, or that there has been a change in the Bidder’s capability toundertake the project from the time it submitted its eligibilityrequirements.Shouldsuchreviewuncoveranymisrepresentationmadeintheeligibilityandbiddingrequirements,statementsordocuments,oranychanges in the situation of the Bidder which will affect its capability toundertaketheprojectsothatitfailsthepreseteligibilityorbidevaluationcriteria,theTourismPromotionsBoard(TPB)shallconsiderthesaidBidder

30.2. Based on the following grounds, the Tourism Promotions Board (TPB)reservestherighttorejectanyandallbids,declareaFailureofBiddingatanytimepriortothecontractaward,ornottoawardthecontract,withouttherebyincurringanyliability,andmakenoassurancethatacontractshallbeenteredintoasaresultofthebidding:

(a) If there is prima facie evidence of collusion between appropriatepublic officers or employees of the Tourism Promotions Board(TPB), or between the BAC and any of the Bidders, or if thecollusionisbetweenoramongthebiddersthemselves,orbetweena Bidder and a third party, including any act which restricts,suppresses or nullifies or tends to restrict, suppress or nullifycompetition;

(b) IftheTourismPromotionsBoard(TPB)’sBACisfoundtohavefailedinfollowingtheprescribedbiddingprocedures;or

(c) Forany justifiableandreasonablegroundwhere theawardof thecontractwillnotredoundtothebenefitoftheGOPasfollows:

(i) If the physical and economic conditions have significantlychangedsoastorendertheprojectnolongereconomically,financiallyortechnicallyfeasibleasdeterminedbytheHoPE;

(ii) If the project is no longer necessary as determined by theHoPE;and

(iii) If thesourceof funds for theprojecthasbeenwithheldorreducedthroughnofaultof theTourismPromotionsBoard(TPB).

30.3. Inaddition, theProcuringEntitymay likewisedeclarea failureofbiddingwhen:

(a) Nobidsarereceived;

(b) AllprospectiveBiddersaredeclaredineligible;

(c) All bids fail to comply with all the bid requirements or fail post-qualification;or

(d) The bidder with the LCRB refuses, without justifiable cause toaccepttheawardofcontract,andnoawardismadeinaccordancewithSection40oftheIRRofRA9184.

F. AwardofContract

31. ContractAward

31.1. Subject to ITB Clause 29, theHoPE or its duly authorized representativeshallawardthecontracttotheBidderwhosebidhasbeendeterminedtobetheLCRB.

31.2. Priortotheexpirationoftheperiodofbidvalidity,theTourismPromotionsBoard (TPB) shall notify the successful Bidder inwriting that its bid hasbeenaccepted,throughaNoticeofAwarddulyreceivedbytheBidderorits representative personally or sent by registeredmail or electronically,receiptofwhichmustbeconfirmed inwritingwithintwo(2)daysbytheBidderwiththeLCRBandsubmittedpersonallyorsentbyregisteredmailorelectronicallytotheTourismPromotionsBoard(TPB).

31.3. Notwithstanding the issuanceof theNoticeofAward, awardof contractshallbesubjecttothefollowingconditions:

(a) Submission of the following documents within ten (10) calendardaysfromreceiptoftheNoticeofAward:

(i) ValidJVA,ifapplicable;or

(ii) In the caseof procurementby a Philippine Foreign ServiceOffice or Post, the PhilGEPS Registration Number of thewinningforeignBidder;

(b) Postingoftheperformancesecurity inaccordancewithITBClause33;

(c) SigningofthecontractasprovidedinITBClause32;and

(d) Approvalbyhigherauthority,ifrequired,asprovidedinSection37.3oftheIRRofRA9184.

31.4. Atthetimeofcontractaward, theTourismPromotionsBoard(TPB) shallnot increase or decrease the quantity of goods originally specified inSectionVI.ScheduleofRequirement.

32. SigningoftheContract

32.1. At the same time as the Tourism Promotions Board (TPB) notifies thesuccessfulBidderthat itsbidhasbeenaccepted,theTourismPromotionsBoard(TPB)shallsendtheContractFormtotheBidder,whichcontracthasbeen provided in the Bidding Documents, incorporating therein allagreementsbetweentheparties.

32.2. Within ten (10) calendar days from receipt of the Notice of Award, thesuccessful Bidder shall post the required performance security, sign anddatethecontractandreturnittotheTourismPromotionsBoard(TPB).

32.3. The Tourism Promotions Board (TPB) shall enter into contract with thesuccessful Bidderwithin the same ten (10) calendar day period providedthatallthedocumentaryrequirementsarecompliedwith.

32.4. Thefollowingdocumentsshallformpartofthecontract:

(a) ContractAgreement;

(b) BiddingDocuments;

(c) Winning bidder’s bid, including the Technical and FinancialProposals, and all other documents/statements submitted (e.g.,bidder’sresponsetorequestforclarificationsonthebid),includingcorrections to the bid, if any, resulting from the TourismPromotionsBoard(TPB)’sbidevaluation;

(d) PerformanceSecurity;

(e) NoticeofAwardofContract;and

(f) Other contract documents thatmay be required by existing lawsand/orspecifiedintheBDS.

33. PerformanceSecurity

33.1. To guarantee the faithful performance by the winning Bidder of itsobligationsunderthecontract,itshallpostaperformancesecuritywithinamaximumperiodoften(10)calendardaysfromthereceiptoftheNoticeofAward from theTourismPromotionsBoard (TPB) and inno case laterthanthesigningofthecontract.

33.2. The Performance Security shall be denominated in Philippine Pesos andposted infavoroftheTourismPromotionsBoard(TPB) inanamountnotlessthanthepercentageofthetotalcontractpriceinaccordancewiththefollowingschedule:

33.3. Failure of the successful Bidder to comply with the above-mentioned

requirement shall constitute sufficient ground for the annulment of theaward and forfeiture of the bid security, in which event the TourismPromotionsBoard(TPB)shallhaveafreshperiodtoinitiateandcompletethepostqualificationofthesecondLowestCalculatedBid.Theprocedureshall be repeated until the LCRB is identified and selected forrecommendationof contractaward. However, ifnoBidderpassedpost-qualification,theBACshalldeclarethebiddingafailureandconductare-biddingwithre-advertisement.Ifnecessary.

34. NoticetoProceed

Withinseven(7)calendardaysfromthedateofapprovalofthecontractbythe appropriate government approving authority, the Tourism PromotionsBoard(TPB)shallissueTheNoticetoProceed(NTP)togetherwithacopyorcopiesoftheapprovedcontracttothesuccessfulBidder.Allnoticescalledforby the terms of the contract shall be effective only at the time of receiptthereofbythesuccessfulBidder.

35. ProtestMechanism

DecisionoftheTourismPromotionsBoard(TPB)atanystageoftheprocurementprocessmaybequestionedinaccordancewithSection55oftheIRRofRA9184.

1. Definitions

1.1.InthisContract,thefollowingtermsshallbeinterpretedasindicated:

(a) “The Contract” means the agreement entered into between theTourismPromotionsBoard(TPB)andtheSupplier,asrecordedintheContract Formsignedby theparties, includingall attachmentsandappendices thereto and all documents incorporated by referencetherein.

(b) “TheContractPrice”meansthepricepayabletotheSupplierunder

theContract forthefullandproperperformanceof itscontractualobligations.

(c) “TheGoods”meansallofthesupplies,equipment,machinery,spare

parts, other materials and/or general support services which theSupplier is required to provide to the Tourism Promotions Board(TPB)undertheContract.

(d) “TheServices”means those services ancillary to the supplyof the

Goods, such as transportation and insurance, and any otherincidentalservices,suchasinstallation,commissioning,provisionoftechnical assistance, training, and other such obligations of theSuppliercoveredundertheContract.

(e) “GCC”means theGeneral Conditions of Contract contained in this

Section.(f) “SCC”meanstheSpecialConditionsofContract.(g) “The Tourism Promotions Board (TPB)” means the organization

purchasingtheGoods,asnamedintheSCC.(h) “TheTPB’scountry”isthePhilippines.(i) “The Supplier” means the individual contractor, manufacturer

distributor,orfirmsupplying/manufacturingtheGoodsandServicesunderthisContractandnamedintheSCC.

(j) The“FundingSource”meanstheorganizationnamedintheSCC.(k) “The Project Site,” where applicable, means the place or places

namedintheSCC.(l) “Day”meanscalendarday.(m) The“EffectiveDate”of thecontractwillbe thedateof receiptby

the Supplier of theNotice to Proceed or the date provided in theNoticetoProceed.Performanceofallobligationsshallbereckoned

fromtheEffectiveDateoftheContract.(n) “Verified Report” refers to the report submitted by the

Implementing Unit to the Head of the Tourism Promotions Board(TPB) setting forth its findings as to the existence of grounds orcausesforterminationandexplicitlystatingitsrecommendationfortheissuanceofaNoticetoTerminate.

2. Corrupt,Fraudulent,Collusive,andCoercivePractices

2.1. Unless otherwise provided in the SCC, the Tourism Promotions Board(TPB) as well as the bidders, contractors, or suppliers shall observe thehighest standardofethicsduring theprocurementandexecutionof thisContract.Inpursuanceofthispolicy,theTourismPromotionsBoard(TPB):

(a) defines,forthepurposesofthisprovision,thetermssetforthbelowasfollows:

(i) "corruptpractice"meansbehavioronthepartofofficialsinthepublicorprivate sectorsbywhich they improperly andunlawfullyenrichthemselves,others,orinduceotherstodoso,bymisusingthepositioninwhichtheyareplaced,anditincludes the offering, giving, receiving, or soliciting ofanythingofvaluetoinfluencetheactionofanysuchofficialin the procurement process or in contract execution;entering,onbehalfoftheGovernment,intoanycontractortransaction manifestly and grossly disadvantageous to thesame,whetherornotthepublicofficerprofitedorwillprofitthereby,andsimilaractsasprovidedinRepublicAct3019.

(ii) "fraudulentpractice"meansamisrepresentationoffacts in

order to influenceaprocurementprocessor theexecutionof a contract to the detriment of the Tourism PromotionsBoard(TPB),andincludescollusivepracticesamongBidders(prior toor after bid submission) designed to establishbidpricesatartificial,non-competitivelevelsandtodeprivetheTourismPromotionsBoard(TPB)ofthebenefitsoffreeandopencompetition.

(iii) “collusive practices” means a scheme or arrangement

between two or more Bidders, with or without theknowledge of the Tourism Promotions Board (TPB),designedtoestablishbidpricesatartificial,non-competitivelevels.

(iv) “coercivepractices”meansharmingorthreateningtoharm,

directlyorindirectly,persons,ortheirpropertytoinfluencetheir participation in a procurement process, or affect theexecutionofacontract;

(v) “obstructivepractice”is

(aa) deliberately destroying, falsifying, altering or

concealingofevidencematerial toanadministrativeproceedings or investigation or making falsestatements to investigators in order to materiallyimpede an administrative proceedings orinvestigationoftheTourismPromotionsBoard(TPB)or any foreign government/foreign or internationalfinancing institution into allegations of a corrupt,fraudulent, coercive or collusive practice; and/orthreatening, harassing or intimidating any party toprevent it from disclosing its knowledge ofmattersrelevant to the administrative proceedings orinvestigation or from pursuing such proceedings orinvestigation;or

(bb) acts intended to materially impede the exercise of

the inspection and audit rights of the TourismPromotions Board (TPB) or any foreigngovernment/foreign or international financinginstitutionherein.

(b) willrejectaproposalforawardifitdeterminesthattheBidderrecommendedfor

awardhasengagedinanyofthepracticesmentionedinthisClauseforpurposesofcompetingforthecontract.

2.2. FurthertheFundingSource,BorrowerorTourismPromotionsBoard(TPB),

as appropriate, will seek to impose the maximum civil, administrativeand/orcriminalpenaltiesavailableundertheapplicable lawon individualsand organizations deemed to be involved with any of the practicesmentionedinGCCClause2.1(a).

3. InspectionandAuditbytheFundingSource

TheSupplier shall permit theFundingSource to inspect theSupplier’s accountsandrecordsrelatingtotheperformanceoftheSupplierandtohavethemauditedby auditors appointed by the Funding Source, if so required by the FundingSource.

4. GoverningLawandLanguage

4.1. This Contract shall be interpreted in accordance with the laws of theRepublicofthePhilippines.

4.2. This Contract has been executed in the English language,which shall be

the binding and controlling language for all matters relating to the

meaningor interpretationof thisContract.Allcorrespondenceandotherdocumentspertaining to this Contract exchangedby theparties shall bewritteninEnglish.

5. Notices

5.1. Anynotice,request,orconsentrequiredorpermittedtobegivenormadepursuant tothisContractshallbe inwriting.Anysuchnotice, request,orconsent shall bedeemed tohavebeengivenormadewhen receivedbythe concerned party, either in person or through an authorizedrepresentativeofthePartytowhomthecommunication isaddressed,orwhensentbyregisteredmail,telex,telegram,orfacsimiletosuchPartyattheaddressspecifiedintheSCC,whichshallbeeffectivewhendeliveredanddulyreceivedoronthenotice’seffectivedate,whicheverislater.

5.2. APartymaychange its address fornoticehereunderbygiving theother

PartynoticeofsuchchangepursuanttotheprovisionslistedintheSCCforGCCClause5.1.

6. ScopeofContract

6.1. The GOODS and Related Services to be provided shall be as specified inSectionVI.ScheduleofRequirement.

6.2. This Contract shall include all such items, although not specifically

mentioned, that can be reasonably inferred as being required for itscompletion as if such items were expressly mentioned herein. Anyadditional requirements for the completion of this Contract shall beprovidedintheSCC.

7. Subcontracting

7.1. Subcontractingof anyportionof theGoods, if allowed in theBDS, doesnot relieve the Supplier of any liability or obligation under this Contract.TheSupplierwill be responsible for theacts,defaults, andnegligenceofany subcontractor, its agents, servants or workmen as fully as if thesewere the Supplier’s own acts, defaults, or negligence, or those of itsagents,servantsorworkmen.

7.2. Subcontractors disclosed and identified during the bidding may be

changedduringtheimplementationofthisContract,subjecttocompliancewith the required qualifications and the approval of the TourismPromotionsBoard(TPB).

8. TPB’sResponsibilities

8.1. Whenever the performance of the obligations in this Contract requiresthat the Supplier obtain permits, approvals, import, and other licenses

fromlocalpublicauthorities,theTourismPromotionsBoard(TPB)shall, ifso needed by the Supplier,make its best effort to assist the Supplier incomplyingwithsuchrequirementsinatimelyandexpeditiousmanner.

8.2. The Tourism Promotions Board (TPB) shall pay all costs involved in the

performanceofitsresponsibilitiesinaccordancewithGCCClause6.9. Prices

9.1. ForthegivenscopeofworkinthisContractasawarded,allbidpricesareconsidered fixed prices, and therefore not subject to price escalationduring contract implementation, except under extraordinarycircumstances and upon prior approval of the GPPB in accordance withSection61ofR.A.9184anditsIRRorexceptasprovidedinthisClause.

9.2. Prices charged by the Supplier for Goods delivered and/or services per

formedunder thisContract shall not vary from thepricesquotedby theSupplierinitsbid,withtheexceptionofanychangeinpriceresultingfromaChangeOrderissuedinaccordancewithGCCClause29.

10. Payment

10.1. Payments shall be made only upon a certification by the Head of theProcuringEntity(HoPE)totheeffectthattheGoodshavebeenrenderedordeliveredinaccordancewiththetermsofthisContractandhavebeenduly inspected and accepted. Except with the prior approval of thePresidentnopaymentshallbemade for servicesnotyet renderedor forsuppliesandmaterialsnotyetdeliveredunderthisContract.Tenpercent(10%) of the amount of each payment shall be retained by the TourismPromotionsBoard(TPB)tocovertheSupplier’swarrantyobligationsunderthisContractasdescribedinGCCClause17.

10.2. The Supplier’s request(s) for payment shall be made to the Tourism

PromotionsBoard(TPB)inwriting,accompaniedbyaninvoicedescribing,as appropriate, the Goods delivered and/or Services performed, and bydocumentssubmittedpursuanttotheSCCprovisionforGCCClause6.2,anduponfulfillmentofotherobligationsstipulatedinthisContract.

10.3. Pursuant toGCC Clause 10.2, payments shall bemade promptly by the

TourismPromotionsBoard(TPB),butinnocaselaterthansixty(60)daysaftersubmissionofaninvoiceorclaimbytheSupplier.

10.4. Unless otherwise provided in the SCC, the currency inwhich payment is

madetotheSupplierunderthisContractshallbeinPhilippinePesos.11. AdvancePaymentandTermsofPayment

11.1. AdvancepaymentshallbemadeonlyafterpriorapprovalofthePresident,

andshallnotexceedfifteenpercent(15%)oftheContractamount,unlessotherwisedirectedbythePresidentorincasesallowedunderAnnex“D”ofRA9184.

11.2. ForGoodssuppliedfromabroad,thetermsofpaymentshallbeasfollows:

(a) OnContract Signature: Fifteenpercent (10%)of theContractPrice shall bepaid

withinsixty(60)daysfromsigningoftheContractanduponsubmissionofaclaimand a bank guarantee for the equivalent amount valid until the Goods aredeliveredandintheformprovidedinSectionVIII.BiddingForms.

(b) On Delivery: Sixty-five percent (65%) of the Contract Price shall be paid to the

Supplierwithin sixty (60)daysafter thedateof receiptof theGoodsanduponsubmissionof thedocuments (i) through (vi) specified in the SCC provisiononDeliveryandDocuments.

(c) OnAcceptance:Theremainingtwentypercent(20%)oftheContractPriceshallbe

paid to the Supplier within sixty (60) days after the date of submission of theacceptance and inspection certificate for the respective delivery issued by theTourismPromotionsBoard(TPB)’sauthorizedrepresentative.Intheeventthatnoinspection or acceptance certificate is issued by the Tourism Promotions Board(TPB)’sauthorizedrepresentativewithinfortyfive(45)daysofthedateshownonthe delivery receipt the Supplier shall have the right to claim payment of theremainingtwentypercent(20%)subjecttotheTourismPromotionsBoard(TPB)’sownverificationofthereason(s)forthefailuretoissuedocuments(vii)and(viii)asdescribedintheSCCprovisiononDeliveryandDocuments.

11.3. Allprogresspaymentsshallfirstbechargedagainsttheadvancepayment

untilthelatterhasbeenfullyexhausted.12. TaxesandDuties

The Supplier, whether local or foreign, shall be entirely responsible for all thenecessarytaxes,stampduties,licensefees,andothersuchleviesimposedforthecompletionofthisContract.

13. PerformanceSecurity

13.1. Withinten(10)calendardaysfromreceiptoftheNoticeofAwardfromtheTourismPromotionsBoard (TPB) but inno case later than the signingofthe contract by both parties, the successful Bidder shall furnish theperformancesecurityinanytheformsprescribedintheITBClause33.2.

13.2. The performance security posted in favor of the Tourism Promotions

Board (TPB) shall be forfeited in the event it is established that thewinningbidderisindefaultinanyofitsobligationsunderthecontract.

13.3. Theperformancesecurityshallremainvaliduntil issuancebytheTourism

PromotionsBoard(TPB)oftheCertificateofFinalAcceptance.

13.4. The performance security may be released by the Tourism PromotionsBoard (TPB) and returned to the Supplier after the issuance of theCertificateofFinalAcceptancesubjecttothefollowingconditions:

(a) TherearenopendingclaimsagainsttheSupplierorthesuretycompanyfiledby

theTourismPromotionsBoard(TPB);(b) TheSupplierhasnopendingclaimsforlaborandmaterialsfiledagainstit;and(c) OthertermsspecifiedintheSCC.

13.5. Incaseofareductionofthecontractvalue,theTourismPromotionsBoard(TPB) shall allow a proportional reduction in the original performancesecurity,providedthatanysuchreductionismorethantenpercent(10%)andthat theaggregateofsuchreductions isnotmorethanfiftypercent(50%)oftheoriginalperformancesecurity.

14. UseofContractDocumentsandInformation

14.1. TheSuppliershallnot,exceptforpurposesofperformingtheobligationsin this Contract, without the Tourism Promotions Board (TPB)’s priorwritten consent, disclose this Contract, or any provision thereof, or anyspecification,plan,drawing,pattern,sample,or informationfurnishedbyoronbehalfoftheTourismPromotionsBoard(TPB).Anysuchdisclosureshall be made in confidence and shall extend only as far as may benecessaryforpurposesofsuchperformance.

14.2. Anydocument,otherthanthisContract itself,enumerated inGCCClause

14.1shallremainthepropertyoftheTourismPromotionsBoard(TPB)andshall be returned (all copies) to theTourismPromotions Board (TPB) oncompletion of the Supplier’s performance under this Contract if sorequiredbytheTourismPromotionsBoard(TPB).

15. Standards

The Goods provided under this Contract shall conform to the standardsmentioned in the SectionVII.TechnicalSpecifications;and,whennoapplicablestandardismentioned,totheauthoritativestandardsappropriatetotheGoods’country of origin. Such standards shall be the latest issued by the institutionconcerned.

16. InspectionandTests

16.1. TheTourismPromotionsBoard (TPB) or its representative shall have therighttoinspectand/ortotesttheGoodstoconfirmtheirconformitytotheContractspecificationsatnoextracosttotheTourismPromotionsBoard(TPB).TheSCCandSectionVII.TechnicalSpecificationsshallspecifywhatinspectionsand/orteststheTourismPromotionsBoard(TPB)requiresand

where they are to be conducted. The Tourism Promotions Board (TPB)shallnotifytheSupplierinwriting,inatimelymanner,oftheidentityofanyrepresentativesretainedforthesepurposes.

16.2. Ifapplicable,theinspectionsandtestsmaybeconductedonthepremises

of theSupplieror its subcontractor(s),atpointofdelivery,and/orat thegoods’finaldestination.IfconductedonthepremisesoftheSupplieroritssubcontractor(s), all reasonable facilities andassistance, includingaccesstodrawingsandproductiondata,shallbefurnishedtotheinspectorsatnochargetotheTourismPromotionsBoard(TPB).TheSuppliershallprovidetheTourismPromotionsBoard(TPB)withresultsofsuch inspectionsandtests.

16.3. TheTPB or its designated representative shall be entitled to attend the

tests and/or inspections referred to in this Clause provided that theTourism Promotions Board (TPB) shall bear all of its own costs andexpenses incurred inconnectionwithsuchattendance including,butnotlimitedto,alltravelingandboardandlodgingexpenses.

16.4. The Tourism Promotions Board (TPB) may reject any Goods or any part

thereof that fail topassany testand/or inspectionordonotconformtothespecifications.TheSuppliershalleitherrectifyorreplacesuchrejectedGoods or parts thereof or make alterations necessary to meet thespecificationsatnocosttotheTourismPromotionsBoard(TPB),andshallrepeat the test and/or inspection, at no cost to theTourism PromotionsBoard(TPB),upongivinganoticepursuanttoGCCClause5.

16.5. TheSupplieragreesthatneithertheexecutionofatestand/orinspection

of the Goods or any part thereof, nor the attendance by the TourismPromotions Board (TPB) or its representative, shall release the SupplierfromanywarrantiesorotherobligationsunderthisContract.

17. Warranty

17.1. The Supplier warrants that the Goods supplied under the Contract arenew, unused, of the most recent or current models, and that theyincorporateallrecentimprovementsindesignandmaterials,exceptwhenthe technical specifications required by the Tourism Promotions Board(TPB)providesotherwise.

17.2. TheSupplierfurtherwarrantsthatallGoodssuppliedunderthisContract

shall have no defect, arising from design, materials, or workmanship orfromanyactoromissionof theSupplier thatmaydevelopundernormaluse of the supplied Goods in the conditions prevailing in the country offinaldestination.

17.3. In order to assure thatmanufacturing defects shall be corrected by the

Supplier, a warranty shall be required from the Supplier for a minimum

period specified in the SCC. The obligation for the warranty shall becoveredby,attheSupplier’soption,eitherretentionmoneyinanamountequivalent toat least tenpercent (10%)of the finalpayment,oraspecialbank guarantee equivalent to at least ten percent (10%) of the ContractPriceorother suchamount if so specified in the SCC. The saidamountsshall only be released after the lapseof thewarrantyperiod specified inthe SCC; provided, however, that the Supplies delivered are free frompatent and latent defects and all the conditions imposed under thisContracthavebeenfullymet.

17.4. TheTPBshallpromptlynotifytheSupplier inwritingofanyclaimsarising

underthiswarranty.Uponreceiptofsuchnotice,theSuppliershall,withinthe period specified in the SCC andwith all reasonable speed, repair orreplacethedefectiveGoodsorpartsthereof,withoutcosttotheTourismPromotionsBoard(TPB).

17.5. If theSupplier,havingbeennotified, fails to remedythedefect(s)within

the period specified inGCC Clause 17.4, theTourismPromotions Board(TPB)mayproceedtotakesuchremedialactionasmaybenecessary,attheSupplier’sriskandexpenseandwithoutprejudicetoanyotherrightswhichtheTourismPromotionsBoard(TPB)mayhaveagainsttheSupplierundertheContractandundertheapplicablelaw.

18. DelaysintheSupplier’sPerformance

18.1. DeliveryoftheGoodsand/orperformanceofServicesshallbemadebytheSupplier inaccordancewiththetimescheduleprescribedbytheTourismPromotionsBoard(TPB)inSectionVI.ScheduleofRequirement.

18.2. IfatanytimeduringtheperformanceofthisContract,theSupplieror its

Subcontractor(s)shouldencounterconditionsimpedingtimelydeliveryofthe Goods and/or performance of Services, the Supplier shall promptlynotifytheTPBinwritingofthefactofthedelay,itslikelydurationanditscause(s).AssoonaspracticableafterreceiptoftheSupplier’snotice,anduponcausesprovided forunderGCC Clause 22, theTourismPromotionsBoard (TPB) shall evaluate the situation and may extend the Supplier’stimeforperformance,inwhichcasetheextensionshallberatifiedbythepartiesbyamendmentofContract.

18.3. Except as provided underGCC Clause 22, a delay by the Supplier in the

performance of its obligations shall render the Supplier liable to theimposition of liquidated damages pursuant toGCC Clause 19, unless anextensionoftimeisagreeduponpursuanttoGCCClause29withouttheapplicationofliquidateddamages.

19. LiquidatedDamages

SubjecttoGCCClauses18and22,iftheSupplierfailstosatisfactorilydeliverany

oralloftheGoodsand/ortoperformtheServiceswithintheperiod(s)specifiedinthis Contract inclusive of duly granted time extensions if any, the TourismPromotionsBoard(TPB)shall,withoutprejudicetoitsotherremediesunderthisContract and under the applicable law, deduct from the Contract Price, asliquidateddamages,theapplicablerateofonetenth(1/10)ofone(1)percentofthecostoftheunperformedportionforeverydayofdelayuntilactualdeliveryorperformance.Themaximumdeductionshallbetenpercent(10%)oftheamountofcontract.Oncethemaximumisreached,theTourismPromotionsBoard(TPB)shallrescindtheContractpursuanttoGCCClause23,withoutprejudicetoothercoursesofactionandremediesopentoit.

20. SettlementofDisputes

20.1. IfanydisputeordifferenceofanykindwhatsoevershallarisebetweentheTourism Promotions Board (TPB) and the Supplier in connectionwith orarisingoutofthisContract,thepartiesshallmakeeveryefforttoresolveamicablysuchdisputeordifferencebymutualconsultation.

20.2. Ifafterthirty(30)days,thepartieshavefailedtoresolvetheirdisputeor

difference by such mutual consultation, then either the TourismPromotionsBoard(TPB)ortheSuppliermaygivenoticetotheotherpartyofitsintentiontocommencearbitration,ashereinafterprovided,astothematter in dispute, and no arbitration in respect of this matter may becommencedunlesssuchnoticeisgiven.

20.3. Any dispute or difference in respect of which a notice of intention to

commencearbitrationhasbeengiveninaccordancewiththisClauseshallbesettledbyarbitration.ArbitrationmaybecommencedpriortoorafterdeliveryoftheGoodsunderthisContract.

20.4. InthecaseofadisputebetweentheTourismPromotionsBoard(TPB)and

theSupplier,thedisputeshallberesolvedinaccordancewithRepublicAct9285 (“R.A. 9285”), otherwise known as the “Alternative DisputeResolutionActof2004.”

20.5. Notwithstanding any reference to arbitration herein, the parties shall

continuetoperformtheirrespectiveobligationsundertheContractunlesstheyotherwiseagree;andtheTourismPromotionsBoard(TPB) shallpaytheSupplieranymoniesduetheSupplier.

21. LiabilityoftheSupplier

21.1. TheSupplier’sliabilityunderthisContractshallbeasprovidedbythelawsoftheRepublicofthePhilippines,subjecttoadditionalprovisions, ifany,setforthintheSCC.

21.2. Except in cases of criminal negligence or willful misconduct, and in the

caseof infringementofpatentrights, ifapplicable,theaggregate liability

of the Supplier to theTourismPromotions Board (TPB) shall not exceedthetotalContractPrice,providedthatthislimitationshallnotapplytothecostofrepairingorreplacingdefectiveequipment.

22. ForceMajeure

22.1. TheSupplier shallnotbe liable for forfeitureof itsperformancesecurity,liquidateddamages,orterminationfordefaultifandtotheextentthattheSupplier’sdelayinperformanceorotherfailuretoperformitsobligationsundertheContractistheresultofaforcemajeure.

22.2. Forpurposesof this Contract the terms“forcemajeure” and“fortuitous

event”maybeusedinterchangeably.Inthisregard,afortuitouseventorforcemajeureshallbeinterpretedtomeananeventwhichtheContractorcouldnothaveforeseen,orwhichthoughforeseen,wasinevitable.Itshallnotincludeordinaryunfavorableweatherconditions;andanyothercausethe effects of which could have been avoided with the exercise ofreasonablediligencebytheContractor.Sucheventsmayinclude,butnotlimited to, acts of the Tourism Promotions Board (TPB) in its sovereigncapacity, wars or revolutions, fires, floods, epidemics, quarantinerestrictions,andfreightembargoes.

22.3. If a forcemajeure situation arises, the Supplier shall promptly notify the

TourismPromotionsBoard(TPB)inwritingofsuchconditionandthecausethereof.UnlessotherwisedirectedbytheProcuringEntity inwriting, theSuppliershallcontinuetoperformitsobligationsundertheContractasfaras is reasonablypractical,andshall seekall reasonablealternativemeansforperformancenotpreventedbytheforcemajeure.

23. TerminationforDefault

23.1. The Tourism Promotions Board (TPB) shall terminate this Contract fordefaultwhenanyofthefollowingconditionsattendsitsimplementation:

(a) Outsideofforcemajeure,theSupplierfailstodeliverorperformanyorallofthe

Goods within the period(s) specified in the contract, or within any extensionthereof granted by theTourism Promotions Board (TPB) pursuant to a requestmadebytheSupplierpriortothedelay,andsuchfailureamountstoatleasttenpercent(10%)ofthecontactprice;

(b) Asaresultofforcemajeure,theSupplierisunabletodeliverorperformanyorall

oftheGoods,amountingtoatleasttenpercent(10%)ofthecontractprice,foraperiodofnot less thansixty (60)calendardaysafter receiptof thenotice fromthe Tourism Promotions Board (TPB) stating that the circumstance of forcemajeureisdeemedtohaveceased;or

(c) TheSupplierfailstoperformanyotherobligationundertheContract.

23.2. IntheeventtheTourismPromotionsBoard(TPB)terminatesthisContract

inwholeorinpart,foranyofthereasonsprovidedunderGCCClauses23to26,theTourismPromotionsBoard(TPB)mayprocure,uponsuchtermsand insuchmanneras itdeemsappropriate,GoodsorServicessimilartothose undelivered, and the Supplier shall be liable to the TourismPromotions Board (TPB) for any excess costs for such similar Goods orServices. However, the Supplier shall continue performance of thisContracttotheextentnotterminated.

23.3. Incasethedelay in thedeliveryof theGoodsand/orperformanceof the

Services exceeds a time duration equivalent to ten percent (10%) of thespecified contract time plus any time extension duly granted to theSupplier,theTourismPromotionsBoard(TPB)mayterminatethisContract,forfeit the Supplier's performance security and award the same to aqualifiedSupplier.

24. TerminationforInsolvency

TheTourismPromotionsBoard(TPB)shallterminatethisContractiftheSupplieris declared bankrupt or insolvent as determined with finality by a court ofcompetentjurisdiction.Inthisevent,terminationwillbewithoutcompensationtotheSupplier,providedthatsuchterminationwillnotprejudiceoraffectanyrightofactionor remedywhichhasaccruedorwill accrue thereafter to theTourismPromotionsBoard(TPB)and/ortheSupplier.

25. TerminationforConvenience

25.1. The Tourism Promotions Board (TPB) may terminate this Contract, inwholeorinpart,atanytimeforitsconvenience.TheHeadoftheTourismPromotionsBoard(TPB)mayterminateacontractfortheconvenienceofthe Government if he has determined the existence of conditions thatmake Project Implementation economically, financially or technicallyimpractical and/or unnecessary, such as, but not limited to, fortuitousevent(s)orchangesinlawandnationalgovernmentpolicies.

25.2. The Goods that have been delivered and/or performed or are ready for

delivery or performance within thirty (30) calendar days after theSupplier’sreceiptofNoticetoTerminateshallbeacceptedbytheTourismPromotionsBoard (TPB) at thecontract termsandprices.ForGoodsnotyetperformedand/orreadyfordelivery,theProcuringEntitymayelect:

(a) tohaveanyportiondeliveredand/orperformedandpaidat thecontract terms

andprices;and/or(b) to cancel the remainder andpay to theSupplier anagreedamount forpartially

completed and/or performed goods and for materials and parts previouslyprocuredbytheSupplier.

25.3. If the Supplier suffers loss in its initial performance of the terminated

contract, such as purchase of raw materials for goods speciallymanufactured for theTourism Promotions Board (TPB) which cannot besold in open market, it shall be allowed to recover partially from thisContract, on aquantummeruitbasis. Before recoverymaybemade, thefact of loss must be established under oath by the Supplier to thesatisfactionof theTourismPromotionsBoard (TPB) before recoverymaybemade.

26. TerminationforUnlawfulActs

26.1. TheTourismPromotionsBoard(TPB)mayterminatethisContractincaseitisdeterminedprimafaciethattheSupplierhasengaged,beforeorduringthe implementation of this Contract, in unlawful deeds and behaviorsrelativetocontractacquisitionandimplementation.Unlawfulactsinclude,butarenotlimitedto,thefollowing:

(a) Corrupt,fraudulent,andcoercivepracticesasdefinedinITBClause3.1(a);(b) Drawinguporusingforgeddocuments;(c) Using adulterated materials, means or methods, or engaging in production

contrarytorulesofscienceorthetrade;and(d) Anyotheractanalogoustotheforegoing.27. ProceduresforTerminationofContracts

27.1. The following provisions shall govern the procedures for termination ofthisContract:

(a) Uponreceiptofawrittenreportofactsorcauseswhichmayconstituteground(s)

forterminationasaforementioned,orupon itsown initiative,the ImplementingUnitshall,withinaperiodofseven(7)calendardays,verifytheexistenceofsuchground(s)andcausetheexecutionofaVerifiedReport,withallrelevantevidenceattached;

(b) Upon recommendation by the Implementing Unit, the Head of the Tourism

PromotionsBoard(TPB)shallterminatethisContractonlybyawrittennoticetotheSupplierconveyingtheterminationofthisContract.Thenoticeshallstate:

(i) that this Contract is being terminated for any of the

ground(s) afore-mentioned, and a statement of the actsthatconstitutetheground(s)constitutingthesame;

(ii) theextentoftermination,whetherinwholeorinpart;

(iii) an instructiontotheSupplier toshowcauseastowhythis

Contractshouldnotbeterminated;and

(iv) special instructionsoftheTourismPromotionsBoard(TPB),ifany.

(c) TheNoticetoTerminateshallbeaccompaniedbyacopyoftheVerifiedReport;(d) Within a period of seven (7) calendar days from receipt of the Notice of

Termination, the Supplier shall submit to the Head of the Tourism PromotionsBoard (TPB) a verified position paper stating why this Contract should not beterminated.IftheSupplierfailstoshowcauseafterthelapseoftheseven(7)dayperiod, either by inaction or by default, the Head of the Procuring Entity shallissueanorderterminatingthisContract;

(e) The Tourism Promotions Board (TPB) may, at any time before receipt of the

Supplier’sverifiedpositionpaperdescribedinitem(d)abovewithdrawtheNoticetoTerminateif it isdeterminedthatcertainitemsorworkssubjectofthenoticehadbeencompleted,delivered,orperformedbeforetheSupplier’sreceiptofthenotice;

(f) Within a non-extendible period of ten (10) calendar days from receipt of the

verified position paper, the Head of the Tourism Promotions Board (TPB) shalldecidewhetherornottoterminatethisContract.Itshallserveawrittennoticetothe Supplier of its decision and, unless otherwise provided, this Contract isdeemed terminated from receipt of the Supplier of the notice of decision. Thetermination shall only be based on the ground(s) stated in the Notice toTerminate;

(g) The Head of the Tourism Promotions Board (TPB) may create a Contract

Termination Review Committee (CTRC) to assist him in the discharge of thisfunction.AlldecisionsrecommendedbytheCTRCshallbesubjecttotheapprovaloftheHeadoftheTPB;and

(h) TheSuppliermustserveawrittennoticetotheTourismPromotionsBoard(TPB)

ofitsintentiontoterminatethecontractatleastthirty(30)calendardaysbeforeits intendedtermination.TheContractisdeemedterminatedif it isnotresumedinthirty(30)calendardaysafterthereceiptofsuchnoticebytheTPB.

28. AssignmentofRights

TheSuppliershallnotassignhisrightsorobligationsunderthisContract,inwholeor in part, except with the Tourism Promotions Board (TPB)’s prior writtenconsent.

29. ContractAmendment

Subject to applicable laws, no variation in or modification of the terms of thisContractshallbemadeexceptbywrittenamendmentsignedbytheparties.

SectionVII.TechnicalSpecificationsNotesforPreparingtheTechnicalSpecificationsA set of precise and clear specifications is a prerequisite for Bidders to respondrealistically and competitively to the requirements of the Procuring Entity withoutqualifying their bids. In the context of Competitive Bidding, the specifications (e.g.production/delivery schedule,manpower requirements, andafter-sales service/parts)mustbeprepared topermit thewidestpossible competitionand, at the same time,presenta clear statementof the required standardsofworkmanship,materials, andperformanceof thegoodsand services tobeprocured. Only if this isdonewill theobjectivesoftransparency,equity,efficiency,fairnessandeconomyinprocurementberealized,responsivenessofbidsbeensured,andthesubsequenttaskofbidevaluationand post-qualification facilitated. The specifications should require that all items,materialsandaccessoriestobeincludedorincorporatedinthegoodsbenew,unused,and of themost recent or currentmodels, and that they include or incorporate allrecent improvements in design and materials unless otherwise provided in theContract.Samples of specifications from previous similar procurements are useful in thisrespect.
