  • March 21, 2013 VIA ELECTRONIC MAIL & CERTIFIED MAIL RETURN RECEIPT REQUESTED Mr. Bruce Klein 123 Elbert Street Ramsey, NJ 07446 Re: CEASE & DESIST NOTICE Dear Bruce, I am herein advising you as the CEO for Emperial Americas, Inc. (EAI), that you are in violation of your fiduciary duties of good faith, loyalty and care to my company and shareholders and also in violation of the Civil RICO statute better known as the "Raketeer Influenced and Corrupt Organizations Act, " (18 U.S.C. 1964(c)), and on the advice of counsel I will be seeking an award of compensatory and treble damages as compensation to EAI, for violation of those fiduciary duties and the Act. I have retained outside counsel to represent the Company in this matter and he has informed me, after exhaustive review of the factual and legal background of your activities, that you have illegally profited from your positions as Chief Operating Officer and Board Member, in your self- dealings with other people and companies on behalf of EAI to the financial detriment of EAI and the shareholders. Your actions have violated every fiduciary duty to EAI and you have acted contrary to its interests. Some of of your self-dealings, theft of company assets, tortuous interference and securities violations have completely damaged EAI. Therefore, EAI will be immediately filing a federal civil complaint in United States District Court for the Northern District of Texas against you and will be seeking a Temporary Restraining Order removing you a s C h ie f O pe ra t ing O f f i ce r and from the Board and enjoining you and others from any and all activities involving EAI. I have also become aware that you are intending to highjack E A I ( TEXX) and use it for your own malicious financial designs. While we file this civil complaint and Temporary Restraining Order we are putting you herein on NOTICE TO CEASE & DESIST from any activities on behalf of EAI as its COO and Board Member and from engaging in any activities that could further damage Emperial Americas, Inc.
