1. a. The tenderers who are interested to quote the rates for one or more items areeligible for participation in the tender and will have to deposit full & fixed' arnount of EMD notified in the NIT for that/those items and no exemption orrelaxation on this ground will be accepted.

b. The tenders submitted without payment of tender cost (as mention in thetender notice) and without EMD will be summarily rejected.

c. No alternations should be made to any of the Terms and Conditions of thetender by scoring out, altering or over-writing and no alternations arepermitted in their rates. No alternations will be allowed after the tender isreceived by this Office. Ambiguity must be avoided in filling tender. Thetenders not complying with these conditions may be rejected.

LATE TENDER : In case of advertised tender enquiry or limited tender enquiry,the tender received after the specified date & time will not be considered.

a. The tender sent by telex, cable or facsimile willbe ignored & rejected.b. Successful tenders shall execute an Agreement Bond in accordance with

VALIDI,TY PERIOD OF TENDER {BlD VALIDITY PERIODI. Vali4itv of Rate and Period

Tender/offer will be valid for 60 days from the date of opening bf the tender. EMD will beforfeited if the tenderer withdraws or alters its bid/offer during the bid validity period.The tenderer shall keep their rates open for a period of one year from the dateof supply order. After the initial order it shall be open to the Nigam to placeorder for the totallpart quantity or distribute among the suppliers, on the samerate, terms and conditions. The same will remain valid for any additional quantitylikely to be ordered during the period also.Bags shall be purchased for the Nigam time to time as per requirement. Thenumbers of bags shown in the tender can be increased or decreased as perrequirement and availability of funds with BRBN.

EARNEST MONEY/BIp SECURTTY

IThe tender shall be accompanied by interest free EMD (as per NIT) in the form of DemandDraft/Banker's cheque drawn in favour of Bihar Rajya Beej Nigam Ltd. payable at patna

executed by any of the Nationalized Banks/Commercial Banks. The EMD should be valid fora period of 45 days beyond the validity period of the tender/bid i.e. EMD should be validfor period of 105 days beyond the date of opening of tender. Tender without EMD will besummarily rejected.

b' Any outstanding amount of the tenderer, if due with BRBN for payment/release, will notbe entertained/considered for EMD purpose.

c. Exemptions for submission of EMD will not be entertained at all in any case. EMD ofunsuccessfultenderers, will be returned within a week of the finalisation of tender.

d. EMD will be forfeited if the tenderer withdraws or alters its bid/offerfrate duringthe bidvalidity period/tender va lidity period.

5. PERFORMANCE SECURITY

Performance security will have to be submitted by the succ"e_ssful bidders within one weekof receipt of supply orders. Performance security will be @5% of th'e ibtal value of thesupply order issued. The performance security deposit will be in the form of Account payee

Demand Draft, Fixed Deposit receipt from a commercial Bank or Bank Guarantee from a

commercial bank in a form acceptable to BRBN. No interest will be claimed by thesupplier/tenderer on the Performance Security Deposit. Failure to submit the PerformanceSecurity will imply forfeiture of EMD. Performance security deposit should be valid forperiod of 60 days beyond the date of completion of work/supply as mentioned in thesupply order. The EMD deposited qlong with the tender by successful bidder may beadjusted against Performance Secu rity.

a. Forfeiture of Perfofmance Securitv: Perforinance security is to be forfeited and credited tothe BRBN (purchase organization) in the event of a breach of contract by the supplier/nonsupply of seed.

Refund of Performance Securitv : Performance security will be refunded to the supplierwithout any interest, whatsoever, after it duly performs and comptetes the contract in allrespects but not later than 50 days of completion of all such obligation under the contract.The tenders not conforming to the prescribed Terms and Conditions of theCorporation or conditional tenders or tenderers who do not adhere to theprescribed time schedule, are likely to be rejected,Only one rate will be entertained against one item.Any special conditions which may be prescribed for specific purpose by BRBNshall also be treated as part of this tender condition for all purposes.ACCEPTANCE OF TENDERS

a. The Corporation is not bound to accept the lowest quotations/rate. Any or all thequotationsf rate may be rejected without assigning any reason to tender. Itreserves the right for accepting in whole or part of the offer made. The decision ofthe Corporation in the matter shall be final and binding.

b. The Corporation may take decision to split the order among two or more than twofirms in a transparent manner as per terms and conditions and extant provisions.

11. EVALUATrcN TCEPTANCE CRITERIA OF BID

a. Contract will be awarded to the eligible lowest bidder for any item. In tle event ofquoted price of the eligible lowest bidder not found justified/not found reasonableby tender/purchase committee, negotiation can be held with him (i.e. L-1 party)for reduction in rate. Negotiation should normally be avoided and should beresorted to only in unavoidable /urgent cases when there is urgent need forpurchase.

If it is found that the quantity to be procured/purchased is more than what L- 1 iscapable of supplying, then the baiance quantity will be distributed among nextlower bidders (L-2, L-3) at the accepted rate of lowest bidder i.e. L-1 to fu1fil therequirement.Conditional offer shal1 not be accepted b5r BRBN and the tenderer shall not imposeany termf condition.

L2 AMENDMENT IN TENDER DOCUMENTSometimes situation may arise necessitating modifrcatigs -.of, the tendernotice/documents already issued on put on sale/website arid also in case ofpointing out by any tenderer for some genuine mistake. In such situation thecorporation may amend/modify the tender documents, suitably throughcorrigendum /Addendum one week prior to the date of the submission oftechnical bids. 13. OTHER CONTRACTUAL OBLIGA?IONS

a. The supplier shall not sublet or delegate this contract or part thereof without thewritten consent of the Corporation subject to extant rules in this regard.s.

b. No understanding or commitment given by or made b5r any Officer of theCorporation, verbally or in writing shali have any effect on this contract in anymanner unless it is signed by the officer who has signed the Contract, subject toextant rules/provisions in this regards

L4. INSPECTION AND PACKING

(A) Cotton cloth bag, High Density (Anti Skidl poly Ethylene sack {Non-laminated}woven bags on circular loom, Non woven Cloth {Non Laminated}, printedpolyester Poly Laminated HDPE (Woven sack) etc as may be applicable in thetender:

Thc Purchaser/Corporation shall have thc right to inspcct and to tcst the goods toconfirm their conformity to the contract. Before the materials is supplied by thesr-rpplier the Pre-dispatch inspection shall be carried out by BRBN throughdeputing team of BRBN officers at the supplier's fact<>rylPlant/Godown to checkas to whether the bags conform the printing, design, art works, colour scheme,content & physical appearance as per approved proof sample. The supplier at theappropriate point of time i.e Minimum 10 days in advance, during the process ofmanufacturing goods, shall intimate the pre-delivery inspection schedule to theCorporation to depute representative for conducting pre delivery inspection offinished goods bearing complete printed as per requirement of the Corporation ofminimum 33.3oh of the ordered quantity and be offered/inspected in bne lot i1general otherwise in ci:se of urgency of material or in the interest of BRBN, smallquantity may also be inspected.

The inspection team shall issue the inspection report and release order(subject to conformity as per approved proof sample) to thc supplier. In cascinspected Goods does not conform to the standard of approved proof sample, the

purchaser /Corporation may reject them and supplier shall either replace therejected Goods or make all alteration necessary to meet the conformity of contractfree of cost of the purchaser/Corporation. Inspection Report & samples drawnfrom inspected lot of Goods will be duly authenticated by BRBN representativeand representative of manufacturers / suppliers with date.

Post deiivery samPles of Goods drawn at consignee site, shall be sampled andsent for testing to the Designated laboratory by BRBN by giving opportunityto the supplier for association in the sampling. [p.case, Tgste-4.sample failsto conform to the specification of the contract, the purchaser shall use theGoods as per clause no. 16 with imposing penalty as per clause no. Bo

The Purchaser/Corporation shall have the right to inspect and to test the Goodsto confirm their conformity to the contract. Before the materials is supplied bythe supplier, the Pre-dispatch inspection and Test shall be carried out by BRBNthrough deputing a team of BRBN's officers & Inspection agency(IJT, Kolkata orothers) at the supplier's factory/Plant/Godown to check as to whether the bagsconform the printing, design, art work colour scheme, content & physicalappearance as per approved proof sample and draw the sample to conduct thetest the purchaser requires. The supplier at the appropriate point of time i.eMinimum 1O days in advance, during the process of manufacturing goods, shallintimate the pre-delivery inspection schedule to the Corporation to deputerepresentative for conducting pre delivery inspection of finished goods bearingcomplete printed as per requirement of the Corporation of.minimum 33.3% of theordered quantity and be offered/inspected in one lot in general otherwise in caseof urgency of material or in the interest of BRBN, smaller quantity may also beinspected

Inspection Committee of the Corporation will draw the sample from LOO%quantity offered by the supplier based on the guide line given in BIS standard orapprovqd by the Corporation. The inspection.team shall put identity on each andevery bales of total quantity for inspection conducted by the Inspection Team.These samples will be duly authenticated by an inspection team of BRBN andrepresentative of manufaeturers/suppliers with date. The sample drawn atsupplier site shall be sent for testing to the laboratory by the Corporation,for thepurpose of veri$ring quality of bags. I

The inspection team shall issue the inspection report and release order(subject to conform ttreir conformity to the contract) to the supplier. In case,Inspected Goods tail to confirm to the Technical specification and conformity as perapproved proof sample, the purchaser may reject them and supplier shall eitherreplace the rejected Goods or make all alteration necessar5r to meet the coriformityof contract, free of cost to the purchaser. inspected lot of Goods will be duiy authenticated by BRBN representative andrepresentalirre of manufacturers/suppliers with date. Bags will be cleared fordispatches only when bags will be found confirm their conformity to thecontract in respect of Technical Specification as well as per approved proofsample.

Bags are to be dispatched to al1 locations in the presence of the InspectionCommittee or as per the guide line of the Corporation from time to time. The timerequired for testing of sample will be excluded from the delivery scheduleperiod given in the Purchase Order for supply of bag (Period from the date onsample drawn to date on issuance the clearance for dispatch of bags to thesupplier). In case bags will not found to confirm their conformity to the contractthen another lot of bags is to be offered by the supplier for inspection and drawn ofsamples for testing, gracc supply pcriod of previous 1ot will not be considered aswell as no cxtra timc will bc grantcd in the dclivcry pcriod.

15. Pre-DeliveryInspection:The expenditure incurred by BRBN's nominee such as TA & DA shali be brone bythe Purchaser/Corporation. However, the suppliers shall provide cost of matcrial.Equipmcnt, tools, labour and othcr facility for carrying out inspcction/drawing upof samples for which the 10 days noticc to the Corporati<>n/Purchascr so that th<:supplier is in a position to give inspection/drawing up of the sample. 22 Liquidated damages/extension in specified delivery period/time period forsupply of goods:

It is ernphasized by the Corporation/Furchaser & understood by the supplier thatthe period of delivery, stipulated in the contract is the essence of the contract. It isadmitted try the supplier that any delay in the delivery will cause damages to theCorporationlPurchaser. subject to force majeure clause 24 .If the supplier fails todeliver any or all of the goods within the time periods (s) specified in the contract,the Purchaser shall, without prejudice to its other remedies under the Contract,deduct from the Contract price, as liquidated damages, a sum equivalent to 2oh ofthe delivered price of the delayed goods for each week of delay until actuat deliveryor performance, up to a maximum deduction of l\oh of the delayed goods. Oncethe maximum is reached, the purchaser may consider termination of the contract.However, If the extension in specified delivery period/time period of goods isgranted by BRBN on administrative ground i.e. due to inability of BRBN to receivethe goods for any reasons or due to requirement/additional requirement of BRBNto take the material beyond the specified delivery period/time period, no penaltyby BRBN will be imposed for extension in delivery period/time period.

The corporation/Purchaser may with hold any payment due to thesupplier until the whole of the items/stores have been fully supplied and deliveredand may deduct or recover from the supplier liquidated damages as stipulatedabove. This clause is without prejudice to the right of the Corporation/purchaserto make risk purchase under next clause and the liability under that clause shallbe in addition to liquidated damages.

23. Default & Risk Purchase:

(a) Should the supplier fail to have the stores ready for delivery as aforesaid, orshould the supplier in arry manner or otherwise fail to perform the contract orshould it fail to complete the supply in time according to the specifications orshould it have winding up order made against it or make or enter into anyarrangements or composition with its creditor or suspend payments (or being acompany, should enter into liquidation either compulsory or voluntary) theCorporation shall have power under the hand of MD/APC to declare the contact atthe end at the risk and cost of the supplier in every way. In such case suppliershall be liable for any liquidated damages for delay as above provided and for anyexpenses, losses or damages which the Corporation/Purchaser may be put incuror sustain by reason of, or in connection with supplier's default.

(b) The cancellation of the contract may be either for whole or part of the contract atCorporation's option. In the event of the Corporation/Purchaser terminating thiscontract in whole or in part, it may procure upon such items and in such manneras it deems appropriate supplies similar to these so terminated and the suppliershall be liable to the Corporation for any excess cost for such similat suppliesprovided that the supplier shall continue the performance of this contract to theextent not terminated under the provisions of this clause.

24. Force majeure:24.I Notwithstanding the provisions of Clause 22 & 23. The supplier shall not be

liable for forfeiture of its Security Deposit. Liquidation damages or termination

for default, to the extent that, its delay in performance or other faiiure to performits obligations under the Contract is the result of the event of Force majeure.

24.2 For Furposes of the Clause" "Force Majeure" means an event beyond the controlof the supplier and not involving the supplier's fault or negligence and notforeseeabie. Such events may include, but are not limited to acts of theCorporation/Purchaser either in its sovereign or contractua-l capacity, wars orrevolutions, fires, floods, epidemics, quarantine restrictions and freightembargoes"

24.3 If a Force Majeure situation arises, the supplier shall promptly notify thePurchaser in writing of such conditions and the cause thereof with 48(Fortyeight) hours. Unless otherwise directed by the Furchases in writing, the suppliershall continue to perform its obligations under the Contact as far as isreasonably practical and shall seek all reasonable alternative means forperformance not prevented by the Force Majeure event.

25(A)

Terms of payments:A11 invoices shall be prepared in Triplicate in the name of Bihar Rajya Beej NigamLtd. (Delivery Destination) mentioned in the purchase Order and shall be signedby the supplier or his authorised agent. Every invoice shali bear a certificatethat." The material covered by the invoice has been inspected by theIJT/Inspecting team of BRBN before delivery and conform in every way tothe contract specification and is packed in accordance with the contractrequirement and further that no invoice has been prepared previously inrespect of the articles charged in the particular invoice,,.

Unless otherwise specified in the contract, 9Oo/o of the invoice value may be paidby Bihar Rajya Beej Nigam Ltd against proof of delivery of the material atdestination and satisfactory inspection of the consignment within 15 days ofdelivery. The supplier is requested to provide information namely Bank name,location of branch & Name of City, Nature of Account, Bank Account No.rFsc code no., MICR code no. permanent Account No. {pAN) etc.

ROAD PERMITS/WAY BILL The concern unit of Bihar Rajya Beej Nigam Ltd will ens;'Bre that theroad permits/ Way Bill whichever is applicable are must be delivered to supplier within 16days ofthe placement of the supply order so that he may able to deliver the materialto the destination asper schedule. ln case any unit fails to deliver the Way Bill /Road Permits to the supplier within 10days, the delayed period will automatically be added in the delivery period prescribed for thesupplier & no punishment to the supplier on this account will be made.

Settlement of Disputes

' Any difference or dispute out of or in connection with this tender or 3cceptance thereof, onthe contract entered or consequence thereof, shall be decided by arbitration. The AgricultureProduction commissioner Bihar (Chairman of Board of Director of BRBN) of the Nigam or hisnominees shall be the sole arbitrator and the arbitrators decision shall be final and binding onboth the parties. The nominees may be an officer of the Nigam. The tenderers will have noobjection to such appointment of any body, on the ground whatsoever, including that the suchnominees in his official capacity deal with the matter at any stage.

The parties agree that in the event of any disputes, neither will approach any court of lawunless they have resorted to and exhausted the remedy of arbitration as envisaged above.

The parties, do hereby also agree that the contract envisaged by these terms and conditionsshall be deemed to have been entered into at Patna and the civil courts at Patna only will havethe jurisdiction to try legal proceeding which may arise out of this contract. Neither party shallfile any proceeding in any other courts.
