El Convenlo

El prop6sIto del presente Convenio es fijar los entendimientos de las partescitadas anteriormente (Partes) con respecto al compromiso del PrestatarloDonatario de llevar a cabo el Proyecto descrlto a continuaci6n y con respecto al financlamiento del Proyecto por las Partes

ARTICULO 2

ARTICLE 1

The Agreement

The purpose of this Agreement is to set forth the understandings of the partiesnamed above (Parties) with respect to the undertaking by the BorrowerGrantee of the Project described herein and with respect to the financing of the Project by the Parties

ARTICLE 2

The Project

SECTION 21 Definition of the Project The Project which is described in detail in Annex I will improve the management and sustainable productivity of commercial pine forests and the efficiency of Industrial conversion and marketing of wood products The project will consist of three related components (1)Institutional reorientation of the Honduran Forestry Corporation (CO1DEFOR) (2) forestry management of selected areas and (3) strengtheningof the private sector primary forestry industry

SECCION 32 Reembolso deCastos Al cumplimlento de las Condiciones Prevlas pertinentes para Desembolsos por el PrestatarioDonatario la ATD podridesembolsar fondos del Pr6stamo y de la Dnaci6n como reembolso para costos que de otra manera sertan elegIbles que fueron incurridos previo a la fecha del cumplimlento de tales Condiciones Prevlas slempre que se presente a la AID enforma y substancia satisfactorias a la AID evidencia de que dichos costos fueron incurridos posteriormente a Ia fecha de este Convenlo de Provecto

The aggregate amount of disbursements under the Loan is referred to as Principal The Loan and the Grant together are referred to as the Assistance

The Assistance may be used to finance foreign exchange costs as defined in Section 71 and local currency costs as defined in Section 72 of goods and services required for the Project

SECTION 32 Reimbursement of Expenses Upon compliance with the relevant Conditions Precedent to Disbursement by the BorrowerGrantee AID may disburse Loan and Grant funds as reimbursement for otherwise eligible costs which were incurred prior to the date such Conditions Precedent were complied with provided that evidence that such costs were incurred subsequent to the date of this Agreement is furnished to AID in form and substance satisfactory to AID

SECCION 34 Fecha de Terminacl6n de Asistencla al Provecto

a La Fecha de Terminaci6n de Aqistencia al Provecto (FTAP) que es el 31 de diclembre de 1994 u otra fecha quelas Partes convinieren por escrito es la fecha para la cual las Partes estiman que todos los serviclos financiados bajo la Asistencia habr~n sido efectuados y todos los bienes financiados bajo la Asistencia habr5n sido proporcionados para el Proyecto tal como se contempla en el presente Convenio

b A excepci6n de lo que la AID pudiere de otra manera convenir por escrito 6sta no e-iltirg ni aprobarg documentaci6n que autorice desembolsos de Ia Asistencia por serviclos efectuades o por bienes suministrados al Proyecto tal como se contempla en el presente Convenlo posteriormente a la FTAP

c LAs solicitudes de desembolso acompaftadas por la documentaci6n de amparo necesaria prescrita tn las Cartas de Ejecuci6n del Proyecto debern ser recibidas por la ATD o por cualquier hanco como se suglere en la Secci6n 81 a mas tardar nueve (9) ineses a partir de la FTAP o en cunlquler otro perlodo que la AID acordase por escrito Despu6s de tal periodo la A1D mediante notificai6n escrita al

SECTION 33 BorrowerGrantee Resources for the Project

a The BorrowerGrantee agrees to provide or cause to be provided for the Project all funds in addition to the Assistance and all other resources required to carry out the Project effectively and In a timely manner

b The resources provided by the BorrowerGrantee for the Project will be no less than the equivalent of US4II687700 including costs borne on an in-kind basis

SECTION 34 Project Assistance Completion Date

a The Project Assistance Completion Date (PACO) which is December 31 1994 or such other date as the Parties may agree to in writing is the date by which the Parties estimate that all services financed under the Assistance will have been performed and all goods financed under the Assistance will have been furnished for the Project as contemplated in this Agreement

b Except as AID may otherwise agree In writing AID will not issue or approve documentation which would authorize disbursement of the Assistance for services performed or for goods furnished for the Project as contemplated in this Agreement subsequent to the PACD

c Requests for disbursement accompanied by necessary supporting documentation prescribed in Project Implementation Letter are to be received by AID or any bank as suggested in Secticn 81 no later than nine (9) months following the PACD or such other period as AID agrees to in writing After such period AID giving notice in writing to the BorrowerGrantee may at any time or

Thrminos del Pr6stamo

SECCION 41 Intereses El PrestarloDonatarlo pagara a la AID intereses que se computarin a una tasa del dos porciento (2) arnual durante los diez af os posteriores a Ia fecha del primer desembolso del Pristamo bajo cste Convenio v a una tasa del tres porclento (3) anual de alli en adolante sobre el Capital Insoluto y sobre cualesquier intereses vencidos y ro pagados Los Intereses sobre el saldo inoluto se devengargn a partir de la fecha (seg6n se define en la Secci6n 8 5) de cada desembolso respectivo del Pr6stamo ser5n pagaderos semestralmente y se computar~n en base a un aio de 365 d~as El primer pago de los Intercses vencer5 y serA pagadero no m~s tarde de seis (6) meses a partir del primer desembolso del Pr~stamo efectuado en virtud del presente Convenio en una fecha a ser especificada por la AID

SECCION 42 Aortizaci6n El PrestatarloDotiatario amorti~ara el Capital a la AID dentro de los cuarenta (40) ai-os a partir de la fec-ia del primer desembolso del Pr~s a-no en sesenta y un (61) cuotas semestrales aproximadamente iiuales de Capital e intereses La primera cuota de Capital ser5 pagadera nueve ailos y medio (9 12) despu6s de la fecha de vencimiento del priiner pago de Intereses de conformidad con la Secci6n 41 La AID proporcionar5 al PrestatarloDonatarlo una tabla de amorttzaciln de conformidad con esta Secci3n despu6s del desembolso final efectuado bajo el Pr6stamo

ARTICLE 4

Loan Terms

SECTION 41 Interest The BorrowerGrantee will pay to ATD interest which will accrue at the rate of two percent (2) per annum for ten years following the date of the first disbursement of the Loan hereunder and at the rate of three percent (3) per annum thereafter on the outstanding balance of Principal and on any due and unpaid interest Interest on the outstanding balance will accrue from the date (as defined in Section 85) of each respective disbursement of the Loan will be payable semi-annually and will be computed on the basis of a 365-day year The first payment of interest will be due and payable no later than six (6) months after the first disbursement of the Loan hereunder on a date to be sporified by AID

SECTION 42 Repayment The BorrowerGrantee will repay to AID the Principal within forty (40) years from the date of the first disbursement of the Loan in sixty-one (61) approximately equal semiannual installments of Principal and Interest The first installment of Principal will be payable nine and one-half (9-12) years after the date on which the first Interest payment is due in accordance with Section 41 ATD will provide the BorrowerGrantee with an amortization schedule in accordance with this Section after the final disbursement

SECCION 44 Pago Adelan ido Una vez pagados todos los itereses y cualesquier retntegros entonces adeudados el PrestatarioDonatario podr5 pagar por adelantado s~n ningn recargo todo o parte del Capital A menos que la AID acordare de otra manera por escrito cualquier pago por adelantado sec5 aplicado a ]a cuota de Capital en el orden Inverso de su vencimiento

SECCION 45 Renegoclcl6n de Trminos

a El FrestatarloDonatario y la AD acuerdan negoIar en la fecha o fechas en que cualquiera de ellos lo solicIte una aceleracl6n de la amortizaci6n del Pr6stamo en caso de que existiere un mejoramiento significativo y continuo en ]a poici6n y perspectivas flnancleras y econ6micas internas y externas de Ia Reprhlica de Honduras quepermitan al Prestatargt Donatario aiortizar el Pr6stamo en un perlodo mas corto

b Cunlquier solicitud por cualqulera de las Partes a la otra para hicer tal negoclncl6n sc hari de conforr-idad con ]a Secci6n 91 y proporclonar el nombre y la direcci6n de la persona o personas qte representargn a Ia Parte solicitante en tales negoclaclones

SECTION 43 Application Currency and Place of Payment All payments of Interest and Principal hereunder will be made in US Dollars and willbe applied first to the payment of Interest due and then to the repayment of Principal Except as AID may otherwise specify In writing payments will be made to the Controller Office of Financial Management Agency for International Development WashingtonDC 20523 USA and will be deemed made when received by the Office of Financial Management

SECTTON 44 Prepayment Upon payment of all interest and any refunds then due the BorrowerGrantee may prepay without penalty all or any part of the Principal Unless AID otherwise agrees in writing any such prepayment will be applied to the installments of Principal in the laverse order of their maturity

SECTION 45 Renegotiation of Terms

a The 3orrowerGrantee and AID agree to negotiate at such time or times as either may request an acceleration of the repayment of the Loan in the event that there is any significant and continuing improvement in the Internal and external economic and financial position and prospects of Honduras which enable the BorrnwerGrantee to repay the Loan on a shorter schedule

b Any request by either Party to the other to so negotiate will be made pursuant to Section 91 and will give the name and address of the person or persons who will represent the requesting Party in such negotiations

SECCION 46 Termlnacl6n al Completar el Pago Al pagarse totalmente el Capital y cualesquler intereses acumulados el presente Convenio y todas las obligaciones del PrestatarloDonatarlo y de la AID con respecto a ]as estipulaclones del Prfstamo bajo el presente Convenlo cesar~n Sin embargo el presente Convenio perraneceri vigente con toda su fuerza y efecto con respecto a cualesquier obligaciones que surgleren del desembolso de fondos de In Donaci6n

ARTICULO 5

Condfcones-Prevlas al Desembolso

c Within thirty (30) days after the delivery of a request to negotiatethe requested Party will communicate to the other pursuant to Section 91 the name and address of the person or persons who will represent the requested Party in such negotiations

d The representatives of the Parties will meet to carry on negotiations no later than thirty (30) days after delivery of the requested Partys communication under Subsection c above The negotiations will take place at a location mutually agreed upon by the representatives of the Parties provided that in the absence of mutual agreement the negotiations will take place at the office of the BorrowerGrantees Minister of Finance and Public Credit in Honduras

SECTION 46 Termination on Full Payment Upon payment Ia full of the Principal and any accrued interest this Agreement and all obligations of the BorrowerGrantee and AID relating to the Loan provisions of this Agreement will cease However with respect to any obligation arising out of the expenditure of Grant Funds this Agreement will reimain in full force and effect

ARTICLE 5

Conditions Precedent to Disbursement

SECTION 51 First Disbursement Prior to the first disbursement of the Assistance or to the issuance by ATD of documentation pursuant to which disburseuent will be made the BorrowerGrantee will except as ATD may otherwise agree in writing furnish to ATD in form and substance satisfactory to AID

SECCTON 52 De qenbolsos Adiclonales Previo a cunlquier desembolso de asistencla o a la em1si6n de cualesquier documentos de comnpromlso conforme a los cuales se efectuar5n desembolsos excepto para la asistencla t~cnica del Director del Proyecto del grupo de ServIclo Forestal estadounidens6 y de los OPVs del Proye-to el PrestatarloDonatarlo a excepci6n de lo que las Partes de otra forma convinleren por escrIto se suministrar5 a la AID en forma y substancia satisfactorias a la AID evidencia de que

a la Unidad Ejocutora del Proyectodentro de COHPEFOR ha sido establecida yprovlsta de porsonal Incluyendo el nombramnento de un Oficial para Revisi6n Amblental a tempo completo

b el Coblerno de honduras a trav s de COMlIEFOR ha formulado y estg comprometido para ejecutar un Plan de Manejo Forestal para el Area de La Uni6n el cual ser presentado para aprohaci6n de la ATD

a An opinion of the Attorney General of the Republic of Honduras or of counsel acceptable to AID that this Agreement has been duly authorized andor ratified by and executed on behalf of the BorrowerGrantee and that It constitutes a valid and legally binding obligation of the BorrowerGrantee in accordance with all of its terms

b A statement of the names of the persons holding or acting In the office of the BorrowerGrantee specified in Section 92 and a specimen signature of each person specified in such statement

SECTION 52 Additional Disbursements Prior to any disbursement or the Issuance of documentation pursuant to which disbursement will be made except for the required technical assistance of the Project Manager the US Forest Service team and Project PVOs the BorrowerCrantee shall except as the Parties may otherwise agree in writingfurnish to AID in form and substance satisfactory to AID evidence that

a) the PrJct Implementation Unit within COFDEFOR has been established and staffed including the assignment of a full-time Environmental Review Officer

b) the Government of Honduras through COHDEFOR has formulated and is committed to Implement a Forest Management Plan for the La Union Area which will be submitted to AID for approval

SECCION 53 NO t ffcaci6n Cuando la AID haya derermfnado que las condtclones previas especificadas en las Secciones 51 y 52 han sido cumplidas lo notificnr5 prontamente al PrestarloDonatarlo

SECCION 5-4 Fechas Finales para las Condiciones PrevIas

Si todas ]as Condictones especificadas en la Serci6n 51 y 52 no han sido cumplidasdentro de las fechas aqul estipuladas o cualesquler otra fecha que la ATD acordare por escrito la AID a su opci6n podri terminar este Convenio en su totalidad o en parte por notificaci6n escrita al PrestarioDonatario

SECTION 53 Notification When ATD has determined that the conditions precedent specified in Sections 51 and 52 have been met it will promptly notify the BorrowerGrantee

b The local currency needed for such disbursements hereunder iky be obtained (1) by acquisition by AID with US dollars by purchase or (ii) by AID requesting the BorrowerGrantee to make available the local currency for such costs and thereafter making available to the BorrowerGrantee through the opening or amendment by ATD of Special Letters of Credit in favor of the BorrowerGrantee or its designee anamount of US dollars equivalent to the amount of local currency made available by the BorrowerGrantee which dollars will be utilized for procurement from the United States under appropriate procedures described in Project Implementation Letters

The US dollar equivalent of the local currency made available hereunder wil be in the case of Subsection b (i) above the amount of US dollars required by ATD to obtain the local currency and in the case of Subsection b (ii) above an amount calculated at the rate of exchange specified in the applicable Special Letter of Credit Implementation Memorandum hereunder at the date of the opening or amendment of the applicable Special Letter of Credit

order to set prices which reflect the true value of the tree depending on its locition access size and other factors The use of these variable prices will be initiated throughout Honduras by the third year of the project Implemenitation of this method of selling and pricing thnber on the stump will require that COLtDEFOR not only train its own personnel but also cducate forest Industrialists on the elements of the new system

A final element of the protection program will consist of activities to combat timier loss due to pest damageprincipally the bark beetle (Dendroctnus spp) Pest management will consist of prevention detection and control

One of the most powerfol tools to stimulate natural regeneration of theforest is the use of correct loggingpractices The project will developspecifications for logging techniques tobe included in each timber sale contract

The project will promote income generating activities for the pcapulatIon living In and near the forest especifically by involving them in better forest resources use with an emphasis on increasing their incomes through such activities as production of charcoal and the manufacture of wood

products

More specific guidance on this area will be offered by a contracted technical assistance team This team will assess the need and capability of the population and will develop a strategy for project intervention They will also carry out baseline studies of relevant socioeconomic indicators against which later evaluations will measure impact of the project on farmer welfare

The primary input to achieve these results will be financing to contract the technical assistance team and to

provide a rotating fund for small scale forest enterprises

vi Improved Agriculture and Grazing Practices

Land use in the La Unl6n Forest Management area is predominantly forestry and population density is relatively low Nevertheless there is increasing agricultural pressure theon forest due to the traditional farmingpractices of residents A lack of perceived incentives for protecting forests exacerbates destruction of watersheds These problems common to most of rural Honduras have been mitigated in selected areas of southern Honduras by the Natural Resources Management Project (NR-IP522-0168) within the Ministry of Natural Resources (MNR)

To overcome the technical constraints to better utilization of the standing timber volume the project will create aForest Industries Technical Assistance Unit within COIIDEFOR This Unit will be a field team of qualified technicians supported by project financed consultants vio will uurk with loggers and sainllers to improve the efficiencyof their operations

Initially the Unit will provide assistance at no cost tc IndustryHowever the Unit will gradually become financially self-supporting chargingfor its services once it has established its credentials as a useful solidservice-oriented office of COHDEFOR

For both timber utilization and sawinilling the members of the Unit will receive on-the-job training and beexposed to w(ll-functioning logging andsawnilling operations through study tours abroad During the first two years of implementation technical assistance will be provided by a sawill technician Ahose efforts will be expanded by the presence of Intermittent short-term consultants The projectwill also provide vehicles equipment and materials to support the Unit in discharging its responsibilities

The wrk of the COIL)EFOR Technical Assistance Unit will be complimented bythe provision to the Honduran Association of SawnIll Operators(ANADHO) of a forest Industry expert for a period of one year This advisor will serve as a counsel to the Associations Directorate The incumbent will analize the existing status of the forest resuurces and industry and provide the Association with a program to assure that the industry continues and flourishes This will entail a detailed action pla according to which the private sector can constructively collaborate with COIIDEFOR to take full advantage of the increased responsibilities it has been assigned In lumber processing and marketing

assistance to support its general activities on behalf of the forest industry and specific technical assistance to develop the market analysis the promotional campaign and related publications

Project funded assistance to the private sector will also include international and domestic training programs The international training will consist of study tours that will be offered to private sector operators to visit sawmills in the United States to observe first-hand operations based on maximum efficient use of lumber resources The domestic training will center on short courses on logging and lumber milling

c Credit

The Project will establish a US149 million equivalent credit facility to meet financial needs of private loggers and sawill operators to replaceoverhaul equipment and machinery carry out circular to band saw mill conversions and obtain operating capital for the purchase of parts and production inputs Credit resources will be channeled through a rediscount line in the Central Bank of Honduras to participating private bank(s) to be selected through an open bidding process Reflows generated by repayments from borrowrs will continue to be used for ten years past the Project Assistance Completion Date for operating capital and equipment purchases credit to private loggers and sawnill operators Specific mechanisms for the implementation of the credit component will be detailed in a subsequent Project Implementation Letter

The Agreement

The purpose of this Agreement is to set forth the understandings of the partiesnamed above (Parties) with respect to the undertaking by the BorrowerGrantee of the Project described herein and with respect to the financing of the Project by the Parties

SECTION 21 Definition of the Project The Project which is described in detail in Annex I will improve the management and sustainable productivity of commercial pine forests and the efficiency of Industrial conversion and marketing of wood products The project will consist of three related components (1)Institutional reorientation of the Honduran Forestry Corporation (CO1DEFOR) (2) forestry management of selected areas and (3) strengtheningof the private sector primary forestry industry
