ALgEMENE VOOrWAArDEN

Artikel 1. toepAsselijkheid

1.1 deze algemene voorwaarden zijn van toepassing op alle aanbiedingen en overeenkomsten van jmt international, jmt evenementenservice b.v., alsmede jmt Floorcoverings bv, hierna te noe-men jmt, met een wederpartij, voor zover van deze voorwaarden niet door jmt uitdrukkelijk en schriftelijk is afgeweken.

1.2 indien de toepasselijkheid van deze voorwaarden éénmaal is overeengekomen, zullen de voor-waarden daardoor ook gelden in de toekomstige rechtsverhoudingen tussen jmt en de weder-partij.

1.3 de voorwaarden zijn eveneens van toepassing op alle overeenkomsten tussen jmt en de weder-partij, voor de uitvoering waarvan derden worden ingeschakeld.

Artikel 2. AAnbiedingen en overeenkomsten

2.1 aan de door jmt uitgebrachte offertes kunnen geen rechten worden ontleend. de offertes zijn vrijblijvend, tenzij uitdrukkelijk anders is vermeld.

2.2 de wederpartij is eerst gebonden aan de overeenkomst , indien en voor zover door haar een schriftelijke orderbevestiging is verzonden, dan wel zodra jmt een begin heeft gemaakt met de uitvoering van de overeenkomst.

Artikel 3. levering

3.1 de door jmt opgegeven levertijd gaat in op het laatste van de navolgende tijdstippen: de dag van de totstandkoming van de overeenkomst; de dag van de ontvangst van de voor de uitvoering van de overeenkomst noodzakelijke gegevens, bescheiden e.d.; de dag dat de eventueel bedongen vooruitbetaling, zoals in de orderbevestiging omschreven, ontvangen is;

3.2 de levertijden zijn slechts indicatief en nimmer te beschouwen als een fatale termijn, tenzij schriftelijk anders is overeengekomen.

3.3 bij overmacht en andere omstandigheden van zodanige aard dat naar redelijkheid (tijdige) nakoming niet van jmt kan worden gevergd, zal de levertijd worden verlengd met een tijdsduur gelijk aan het voortduren van die omstandigheden.

3.4 onder overmacht wordt in deze algemene voorwaarden mede verstaan werkstaking, ziekte per-soneel, overheidsmaatregelen, burgeroorlogen, aanslagen, natuurrampen, onvoorziene verkeers-situaties en vertraging in de leveranties door toeleveranciers.

3.5 het is jmt geoorloofd om de levering in delen te doen plaats vinden.3.6 de wederpartij is verplicht de gehuurde, dan wel gekochte, zaken af te nemen op het moment

waarop deze hem worden bezorgd, dan wel waarop deze volgens de overeenkomst aan haar ter beschikking worden gesteld.

3.7 indien de geleverde zaken op ondergeschikte punten afwijken van de getoonde modellen in de documentatie, ontheft dit de wederpartij niet van de verplichting tot afname.

3.8 de verhuurde, dan wel gekochte, zaken worden geacht in perfecte staat te zijn geleverd door de wederpartij, tenzij bij de levering schriftelijk onder beschrijving van de gebreken anders werd vastgesteld.

3.9 de wederpartij dient ervoor in te staan dat de overeengekomen plaats van levering of retour halen goed bereikbaar, vrij van obstakels en droog en schoon is. Wanneer de levering of het retour halen wordt vertraagd dan wel onmogelijk wordt gemaakt doordat de wederpartij ter zake in gebreke blijft, zullen de hierdoor veroorzaakte extra kosten door haar dienen te worden vergoed.

Artikel 4. huurprijs, koopprijs

4.1 tenzij uitdrukkelijk anders vermeld zijn alle prijzen in euro’s en exclusief omzetbelasting en even-tuele andere heffingen welke van overheidswege worden opgelegd.

4.2 bij wijziging van de overeenkomst of meerwerk in het kader van de overeenkomst is jmt gerech-tigd alle daaruit voortvloeiende kosten aan de wederpartij in rekening te brengen. de weder partij zal deze kosten, mits redelijk opgesteld, voldoen.

4.3 indien de beurs of het evenement door jmt wordt aangedaan, komt het transport en de levering van de zaken naar de overeengekomen plaats binnen nederland, voor rekening van jmt. alle leveringen en transporten buiten nederland zijn voor rekening van de wederpartij, tenzij schriftelijk anders is overeengekomen.

4.4 jmt is gerechtigd bij de uitvoering van de opdracht derden in te schakelen, waarvan de kosten aan de wederpartij zullen worden doorberekend conform verstrekte prijsopgave.

4.5 Kosten welke door beursgebouwen e.d. worden gevorderd voor transport en andere diensten op haar eigen terrein komen voor rekening van de wederpartij en zullen zonder vooroverleg door jmt aan haar worden doorberekend.

Artikel 5. betAlingen

5.1 alle facturen zullen door de wederpartij worden betaald overeenkomstig de op de factuur ver-melde betalingscondities. bij gebreke van deze condities dient betaling binnen 30 dagen na factuurdatum,zonder enige korting of compensatie, te geschieden.

5.2 bij gebreke van betaling binnen de gestelde termijn is de wederpartij in verzuim en is hij – zonder dat enige ingebrekestelling nodig is – vanaf de datum van verzuim een rentevergoeding verschuldigd van 1% per maand, waarbij een gedeelte van de maand voor volle maand wordt gerekend. indien echter de wettelijke rente hoger is dan 1% per maand dan is de wederpartij deze hogere wette-lijke rente verschuldigd.

5.3 jmt is immer gerechtigd van de wederpartij een naar haar oordeel voldoende zekerheid te ver-langen voor de nakoming van zijn betalingsverplichtingen, dan wel vooruitbetaling van de huur-prijs te verlangen,en tot dat moment de nakoming van haar eigen verplichtingen op te schorten. indien de wederpartij weigert de verlangde zekerheid te verschaffen, is jmt gerechtigd de over-eenkomst als ontbonden te beschouwen, onverminderd het recht van jmt op vergoeding van alle geleden schade, waaronder begrepen winstderving.

5.4 indien de wederpartij de betalingstermijn overschrijdt dan is de wederpartij, zonder ingebreke-stelling, verschuldigd 15% buitengerechtelijke incassokosten.

5.5 de door de wederpartij gedane betalingen strekken eerst ter voldoening van verschuldigde rente en de buitengerechtelijke kosten en vervolgens van opeisbare facturen die het langst openstaan, ook al vermeldt de wederpartij bij de betaling een andere bestemming.

Artikel 6. eigendomsvoorbehoud

6.1 door jmt verhuurde zaken blijven vanzelfsprekend haar eigendom. tevens blijven de door jmt middels een koopovereenkomst overgedragen zaken haar eigendom, zolang de wederpartij niet heeft voldaan aan al hetgeen de wederpartij in verband met de onderliggende overeenkomst en, voor zover de wet zulks toelaat, in verband met andere overeenkomsten van de wederpartij te vorderen heeft, met inbegrip van rente en kosten.

6.2 jmt is te allen tijde bevoegd een beroep te doen op haar eigendomsvoorbehoud en haar eigen-dommen tot zich te nemen, indien de wederpartij niet tijdig betaalt, dan wel anderszins in gebreke blijft om aan haar verplichtingen te voldoen.

6.3 de wederpartij is, zolang het eigendomsvoorbehoud op de zaken rust, niet gerechtigd de zaken te vervreemden, te belenen, te verhuren of een pandrecht op de zaken te vestigen. de weder-partij is derhalve niet gerechtigd enig zekerheidsrecht aan derden te verstrekken, ten aanzien van gehuurde zaken, dan wel gekochte zaken, waarvan nog niet de gehele koopprijs, en eventueel de rente en buitengerechtelijke kosten, zijn voldaan.

Artikel 7. AAnsprAkelijkheid wederpArtij

7.1 De gehuurde zaken komen na aflevering tot het moment dat deze feitelijk weer in het bezit zijn van jmt voor rekening en risico van de wederpartij.

7.2 de wederpartij is gedurende deze periode aansprakelijk voor diefstal, vermissing of beschadiging van de gehuurde zaken.

7.3 eventuele schade aan de gehuurde zaken wegens vermissing, diefstal of beschadiging zal door de wederpartij worden vergoed tegen de vervangingswaarde. de wederpartij dient haar risico hier-toe voor eigen rekening afdoende te verzekeren.

7.4 de wederpartij vrijwaart jmt van alle aansprakelijkheid voor schade die is veroorzaakt door het gebruik van de gehuurde zaken tijdens de huurperiode.

7.5 de gehuurde zaken mogen uitsluitend en alleen worden gebruikt voor het doel waartoe zij bij het aangaan van de huurovereenkomst zijn bestemd. bij ander gebruik heeft jmt het recht de overeenkomst met de wederpartij onmiddellijk, zonder voorafgaande ingebrekestelling, te beëin-digen en de zaken terug te nemen.

7.6 aansprakelijkheid in de zin van dit artikel ontslaat de wederpartij niet van haar verplichting tot betaling van de overeengekomen huurprijs.

Artikel 8. klAchten en gArAntie

8.1 jmt levert goede handelskwaliteit. onverminderd de in deze voorwaarden genoemde beperkingen, garandeert jmt de deugdelijkheid van de door jmt geleverde zaken, mits alle instructies met betrekking tot het gebruik van de zaken strikt in acht zijn genomen en opgevolgd.

8.2 de wederpartij kan op een gebrek in de prestaties geen beroep doen, indien hij niet bin-nen 8 dagen nadat hij het gebrek heeft ontdekt of redelijkerwijs had moeten ontdekken bij jmt ter zake schriftelijk heeft geprotesteerd.

8.3 indien het afgeleverde niet aan de overeenkomst beantwoordt, geeft jmt te zijner keuze garantie in de zin dat jmt slechts gehouden is de afgeleverde zaak te herstellen of te ver-vangen, dan wel ontbrekende zaken alsnog te leveren. leveringen van 5% meer of minder dan de bestelde hoeveelheid gelden niet als tekortkomingen.

8.4 indien een gebrek aan het afgeleverde ontstaat tijdens de huurperiode, zal jmt zich inspannen om dit gebrek te herstellen, doch slechts voor zover dit redelijkerwijs van haar gevergd kan worden en het gebrek buiten schuld van de wederpartij is ontstaan.

8.5 retourzending ten behoeve van vervanging of herstel van de gehuurde goederen vindt plaats voor rekening en risico van jmt en steeds eerst na toestemming van jmt.

8.6 Klachten over facturen dienen binnen 8 dagen na ontvangst van de factuur schriftelijk te zijn ingediend.

8.7 indien de wederpartij niet binnen de hierboven vermelde termijn heeft gereclameerd en/of hij jmt niet de gelegenheid heeft geboden de gebreken te herstellen, vervalt het recht van reclame.

Artikel 9. AAnsprAkelijkheid jmt

9.1 de aansprakelijkheid van jmt is uitdrukkelijk beperkt tot nakoming van de in artikel 8. omschreven verplichtingen; zij is slechts aansprakelijk voor schade, indien de schade is ontstaan door opzet of daarmee gelijk te stellen grove schuld van jmt of van diens onder-geschikten.

9.2 jmt is niet aansprakelijk voor schade, ontstaan aan voorwerpen die door de wederpartij zijn achtergelaten in kasten, vitrines, bureaus en in andere gehuurde zaken.

9.3 indien er op grond van enige wettelijke bepaling op jmt als enige schadeplicht zou rusten, dan beperkt deze aansprakelijkheid zich, voor zover deze door haar aansprakelijkheidsver-zekering wordt gedekt, tot het bedrag van de door de verzekeraar gedane uitkering.

9.4 indien vast is komen te staan dat jmt aansprakelijk is voor schade die niet door de verzekering wordt gedekt, dan is de schade beperkt tot een maximum van tweemaal het bedrag dat de wederpartij in het kader van de overeenkomst aan jmt verschuldigd was.

9.5 jmt is nimmer aansprakelijk voor gevolgschade van de wederpartij dan wel van derden.9.6 de in dit artikel bedoelde aansprakelijkheidsuitsluiting strekt zich tevens uit ten behoeve

van derden, die voor de uitvoering van de overeenkomst door jmt zijn ingeschakeld.9.7 jmt is nimmer aansprakelijk indien de tekortkoming het gevolg is van overmacht.

Artikel 10. Annulering en ontbinding

10.1 de wederpartij is gerechtigd om een opdracht tot huur en verhuur te annuleren, indien dit tenminste 3 werkdagen voor de aanvang van de huurtermijn schriftelijk is medegedeeld en mits de gehuurde zaken niet reeds op de overeengekomen plaats zijn afgeleverd. bij een dergelijke annulering is jmt gerechtigd kosten in rekening te brengen van maximaal 5% van de totale huurprijs.

10.2 indien de wederpartij de opdracht tot huur en verhuur tenminste drie werkdagen voor de aanvang van de huurtermijn heeft geannuleerd, doch de gehuurde zaken reeds zijn afgele-verd, is de wederpartij 50% van de totale huurprijs verschuldigd aan jmt, onverminderd het recht van jmt om vergoeding van de werkelijke schade en verdere kosten te vorderen.

10.3 onverminderd het hiervoor in deze voorwaarden bepaalde wordt de overeenkomst ont-bonden zonder rechterlijke tussenkomst middels een schriftelijke verklaring, op het tijd-stip waarop de wederpartij in staat van faillissement wordt verklaard, voorlopige surséance van betaling aanvraagt of door beslaglegging, onder curatele stelling of door toepassing van de wet schuldsanering natuurlijke personen of anderszins de beschikkingsbevoegdheid over zijn vermogen of delen ervan verliest, tenzij de curator of bewindvoerder de uit deze overeenkomst voortvloeiende verplichtingen als boedelschuld erkent.

10.4 door de ontbinding worden over en weer bestaande vorderingen onmiddellijk opeisbaar. de wederpartij is aansprakelijk voor de door jmt hierdoor geleden schade, onder meer bestaande uit winstderving en transportkosten.

Artikel 11. beëindiging

11.1 de overeenkomst tot huur en verhuur eindigt als de huurtermijn is verstreken. de weder-partij is verplicht de zaken op deugdelijke wijze terug te geven op de plaats van aflevering, na kennisgeving omtrent het tijdstip van teruggave.

11.2 gehuurde zaken dienen binnen 24 uur na verstrijken van de huurtermijn weer in het bezit van jmt te zijn.

11.3 indien na beëindiging van de huurperiode de zaken niet door jmt in ontvangst kunnen worden genomen, is de wederpartij verplicht de zaken per goederen omgaande franco te retourneren.

Artikel 12. geschillen en toepAsselijk recht

12.1 alle overeenkomsten waarop deze voorwaarden van toepassing zijn verklaard, zijn onder-worpen aan nederlands recht. de bepaling van het verdrag van Wenen van 11 april 1980, traktatenblad 1981,84,1986,61 zijn uitgesloten. met betrekking tot overeenkomsten als be-doeld in artikel 6;247 lid 2 bW wordt uitdrukkelijk bepaald dat afdeling 3,titel 5 van het boek 6 bW buiten toepassing blijft.

12.2 de vernietiging van één van deze algemene voorwaarden of een deel daarvan laat de toe-passelijkheid en de inhoud van de overige voorwaarden onverlet.

12.3 elk geschil tussen jmt en de wederpartij, dat voortvloeit uit een overeenkomst, waarop deze voorwaarden van toepassing zijn, wordt gebracht voor de bevoegde rechter van de vestigingsplaats van jmt, ongeacht diens bevoegdheid te kiezen voor de volgens de wet bevoegde rechter.

Artikel 13. voorbehoud

13.1 Kleurafwijkingen zijn mogelijk, drukkleuren kunnen enigszins afwijken van de product kleu-ren, we hebben echter geprobeerd ze zoveel mogelijk te benaderen, kunnen er echter niet aansprakelijk voor worden gehouden.

13.2 alle prijzen zijn onder voorbehoud van tussentijdse prijswijzigingen. We hebben ons uiter-ste best gedaan alle prijzen correct weer te geven, behouden ons het recht voor om de prijzen aan te passen als er toch een foutje is ingeslopen.

Article 1. ApplicAbility

1.1 these general terms and conditions shall apply to all offers and agreements of jmt international, jmt evenementenservice b.v., as well as jmt Floor coverings b.v. and also to subsidiaries and sister companies of the aforementioned companies, all to be referred to below as jmt, vis-à-vis an opposite party, insofar as there have been no explicit and written deviations from these terms and conditions by jmt.

1.2 once the applicability of these terms and conditions has been agreed upon, the terms and conditions shall consequently also apply to the future legal relations between jmt and the oppo-site party.

1.3 the terms and conditions shall also apply to all agreements between jmt and the opposite par-ty for the performance for which third parties are brought in.

Article 2. offers And Agreements

2.1 no rights may be derived from offers made by jmt. the offers shall be without any obligations, unless expressly mentioned otherwise.

2.2 the opposite party shall only be bound by the agreement if and insofar as a written order con-firmation was sent by it, or as soon as JMT has commenced performance of the agreement.

Article 3. delivery

3.1 the term of delivery stated by jmt shall commence on the last of the following points in time, by means of an order confirmation

the day of the formation of the agreement; the day of the receipt of the necessary data, documents etc. that are necessary for the performance

of the agreement; the day on which any stipulated advance payment, as defined in the order confirmation, is re-

ceived;3.2 the delivery dates shall only be indicative and are never to be considered as dates to be observed

on penalty of forfeiture of rights, unless agreed upon otherwise in writing.3.3 in the event of “force majeure” and other circumstances of such a nature that (timely) perform-

ance cannot reasonably be asked of jmt, the term of delivery shall be extended by a period of time that is equal to the duration of these circumstances.

3.4 Force majeure shall be taken to mean in these general terms and conditions strike, illness of per-sonnel, government measures, civil wars, natural disasters, unforeseen traffic situations, and delay in the deliveries by suppliers.

3.5 jmt shall be authorized to have the delivery take place in parts.3.6 the opposite party shall be obliged to take delivery of the items rented, or the items bought, at

the time when these are delivered to it, or when these are made available to it in accordance with the agreement.

3.7 in the event that the items delivered deviate from the models displayed in the documentation on minor points the opposite party shall not be released from the obligation to rent or purchase.

3.8 the items that are rented or purchased shall be considered to have been delivered to the oppo-site party in good condition, or at least suitable for the purpose for which the items are rented or purchased, unless it was discovered to be otherwise in writing upon the delivery, including a description of the defects.

3.9 the opposite party is to guarantee that the agreed location for delivery or collection of return consignments is easy to access, free of obstacles, dry and clean. if the delivery or the collection of return consignments is delayed or is made impossible because the opposite party remains in default in the matter, the additional costs caused by this are to be indemnified by it.

Article 4. rent, purchAse price

4.1 unless expressly mentioned otherwise all prices are in euros or dutch guilders and exclusive of vat and any other levies imposed by the government.

4.2 in the event of any alteration of the agreement or additional work within the framework of the agreement jmt shall be authorized to charge all costs resulting from that to the opposite party. the opposite party shall pay these costs, provided that they are compiled within reason.

4.3 unless agreed upon otherwise in writing the transportation and delivery of the items to the agreed location in the netherlands shall be at the expense of jmt and delivery and transporta-tion outside the netherlands shall be at the expense of the opposite party.

4.4 jmt shall be authorized the bring in third parties for the performance of the order, whereby the costs shall be passed on to the opposite party in conformity with the quotation issued.

4.5 costs that are charged by bourses/exposition centers and so forth for transportation and oth-er services on its grounds shall be borne by the opposite party and shall be charged to it by jmt without any prior consultation.

Article 5. pAyments

5.1 all invoices shall be paid by the opposite party in accordance with the payment conditions men-tioned on the invoice. in the absence of such conditions payment is to take place within 30 days.

5.2 In the event of failure to pay within the fixed term the opposite party shall be in default and – without any notice of default being required – it shall be obliged to pay interest of 1% per month, whereby part of a month shall be calculated as a whole month. if, however, the legal interest is higher than 1% per month then the opposite party shall owe this higher legal interest.

5.3 JMT shall at all times be authorized to ask the opposite party for sufficient security in its view for the fulfilment of its payment obligations and to postpone the performance of its own obligations until that time. if the opposite party refuses to grant the security asked for, jmt shall be author-ized to regard the agreement as dissolved, without prejudice to jmt’s right to compensation for any loss or damage sustained, including loss of profits.

5.4 if the opposite party exceeds the term of payment the opposite party shall owe 15% of extraju-dicial collection costs, without any notice of default being required.

5.5 The payments made by the opposite party shall first serve to pay the interest owed and the ex-trajudicial costs, even if the opposite party states a different purpose when paying.

Article 6. retention of title

6.1 items rented by jmt shall of course remain its property. Furthermore, items which have been transferred by jmt by means of a contract of sale shall remain its property for as long as the op-posite party has not complied with all that which jmt may claim from the opposite party in con-nection with the present agreement and, insofar as the law permits this, in connection with oth-er agreements, including interest and costs.

6.2 jmt shall at all times be authorized to invoke retention of title and to take possession of its prop-erty if the opposite party fails to pay in time, or remains in default of fulfilling its obligations oth-erwise.

6.3 as long as the retention of title applies to the items, the opposite party shall not be authorized to alienate, raise money on, release, or create a pledge in respect of the items. the opposite par-ty shall therefore not be authorized to grant any security to third parties in respect of leased items, or purchased items, of which the full purchase price, and any interest and extrajudicial costs, have not been paid yet.

Article 7. opposite pArty’s liAbility

7.1 after delivery, the rented items shall be for the account and risk of the opposite party until the moment when these are actually in jmt’s possession again.

7.2 during this period the opposite party shall be liable for theft, loss, or damage to the leased items.7.3 any damage to the leased items because of loss, theft, or damage caused, shall be compensated

by the opposite party at replacement value. The opposite party is to take out sufficient insurance at its own expense to cover this risk.

7.4 the opposite party shall hold jmt harmless against all liability for loss or damage caused by the use of the leased items during the rent term.

7.5 the leased items may only and exclusively be used for the purpose for which they were desig-nated when concluding the rent. in the event of any other use jmt shall have the right to termi-nate the agreement with the opposite party immediately, without any prior notice of default, and to take the items back.

7.6 liability according to the meaning of this article shall not release the opposite party from its ob-ligation to pay the agreed rent.

Article 8. complAints And guArAntee

8.1 jmt delivers good commercial quality. Without prejudice to the limitations mentioned in these terms and conditions jmt guarantees the reliability of the items delivered by jmt, provided that all instructions regarding the use of the items have been strictly observed and followed.

8.2 the opposite party may not invoke failure in the performance if it has not protested to jmt in writing about the matter within 8 days of it having discovered the failure or it should reasonably have discovered it.

8.3 If the item(s) delivered do not reflect the agreement, JMT’s offers the opposite party a choice to repair, exchange or deliver the item to fulfil its agreement. The delivery is sup-posed to be correct if volume differences are within a 5 % deviation (+ or -) of the agreed volume.

8.4 in case of a defect occurring during the rental period, jmt will try to solve the occurred defect. the effort will nevertheless be judged upon reasonability and cost incurred and the fact if the defect has occurred through no fault of the opposite party.

8.5 return consignments for the purpose of replacement or repairs to the rented items shall take place at the expense and risk of JMT and always after first having obtained permis-sion from jmt.

8.6 complaints about invoices are to have been submitted in writing within 8 days of receipt of the invoice.

8.7 if the opposite party has failed to put in a complaint within the term stated above and/or it has not given jmt a chance to repair the defects, the right of revindication shall lapse.

Article 9. jmt’s liAbility

9.1 JMT’s liability shall be expressly limited to fulfilment of the obligations defined in article 8; it shall only be liable for loss or damage if the loss or damage has occurred as a result of any intentional act or omission or equivalent gross negligence by jmt or its subordinates.

9.2 jmt shall not be liable for any loss or damage occurred to items which were left behind by the opposite party in cupboards, showcases, desks and in other leased items.

9.3 if on the basis of any legal provision the liability to pay compensation lies solely with jmt, then this liability shall be limited, insofar as it is covered by its liability insurance, to the amount of the payment made by the insurer.

9.4 in the event that it has been established that jmt is liable for loss or damage which is not covered by the insurance then the loss or damage shall be limited to a maximum of twice the amount that is payable by the opposite party to jmt within the framework of the agreement.

9.5 jmt shall never be liable for consequential losses sustained by the opposite party or any third parties.

9.6 The exclusion of liability referred to in this article shall also extend to the benefit of third parties brought in by jmt for the performance of the agreement.

9.7 jmt shall never be liable if the failure to perform is the result of force majeure.

Article 10. cAncellAtion And dissolution

10.1 the opposite party shall be authorized to cancel a lease order if this is communicated in writing no less than 3 working days prior to the start of the lease term and provided that the leased items have not already been delivered to the agreed location. in the event of such a cancellation.

10.2 if the opposite party cancelled the lease order no less than three working days prior to the start of the lease term, but the leased items have already been delivered, the opposite party shall owe 50% of the total rent to jmt, without prejudice to jmt’s right to claim compensation for the actual loss and further costs.

10.3 Without prejudice to the stipulations above in these terms and conditions the agreement shall be cancelled without judicial intervention by means of a written statement at the time when the opposite party is declared bankrupt/put into involuntarily liquidation, sub-mits a petition for provisional suspension of payment(s) or loses its freedom to dispose of its capital or parts of it due to attachment, placement under tutelage, or application of the debt rescheduling act for natural persons or otherwise, unless the curator or admin-istrator recognizes the obligations resulting from this agreement as estate debt.

10.4 as a result of the dissolution all claims existing reciprocally shall immediately become due and payable. the opposite party shall be liable for any loss consequently sustained by jmt, consisting, among other things, of loss of profits and transportation costs.

Article 11. expiry

11.1 the rent shall expire upon the lapse of the rent term. the opposite party shall be obliged to return the items in a sound manner at the location of delivery, following notification of the time of the return.

11.2 rented items are to be in jmt’s possession again within 24 hours of the expiry of the lease term.

11.3 if the items cannot be taken into possession by jmt after the expiry of the lease period, the opposite party shall be obliged to return the items by (post) carriage paid.

Article 12. disputes And ApplicAble lAw

12.1 all agreements to which these terms and conditions have been declared applicable shall be subject to dutch law.

12.2 any dispute between jmt and the opposite party which results from an agreement to which these terms and conditions apply shall be submitted to the competent court of jmt’s domicile irrespective of its competence to choose the competent court pursuant to the law.

Artikel 13. reserve

13.1 there might be small color variations that may occur due to printing techniques, we tried to match them as well as possible, however we are not liable for color variations.

13.2 although we have been extremely careful in preparing the pricelist we reserve the right to alter prices if there might be a mistake.
